BUSINESS PRINT ORDER

Parties and Recitals

This Business Print Order (the "Order") is entered into as of by and between Client Name: (the "Client") and Print Vendor Name: (the "Vendor").

WHEREAS, the Client desires to purchase custom-printed materials and related services as set forth in this Order; and

WHEREAS, the Vendor is engaged in the business of producing printed materials and represents it has the resources and capacity to perform the services described herein;

NOW, THEREFORE, in consideration of the mutual covenants contained in this Order, the parties agree as follows.

Order Details

The Vendor will produce the following print items in accordance with specifications below. Quantities, materials, color, and unit pricing must be confirmed at proof approval.

Scope of Work

Payment Terms

The Client shall pay the Vendor the Total Amount Due specified above in accordance with the following provisions.

Late payments shall accrue interest at the rate of percent per month (or the maximum permitted by law), plus reasonable collection costs. Vendor may withhold delivery of finished goods until payment in full is received.

Proofs, Changes, and Approval

Vendor will deliver a digital proof for Client approval. Client must approve proofs in writing or by confirmed electronic communication within days of delivery. Additional charges apply for changes requested after proof approval or for rework due to Client-provided errors.

Term and Termination

This Order commences on the Start Date: and expires on the End Date: unless earlier terminated as provided below.

Either party may terminate this Order for convenience upon written notice delivered at least days prior to the intended termination date. Termination for material breach is permitted where the breaching party fails to cure within 15 days after written notice specifying the breach.

Confidentiality

Each party shall maintain in confidence all non-public technical, business and financial information disclosed by the other party in connection with this Order ("Confidential Information"). Confidential Information shall not include information that is, at the time of disclosure, publicly known or subsequently becomes publicly known through no fault of the receiving party. Receiving party shall use Confidential Information solely to perform its obligations under this Order and shall return or destroy such information upon termination or upon request.

Warranties and Liability

Vendor warrants printed materials will conform to the agreed specifications and customary industry standards for workmanship. Client must inspect delivered goods promptly and notify Vendor of any nonconformity within 10 days of receipt. Vendor's sole obligation for defective goods shall be, at Vendor's option, replacement or refund of the portion of the order that is defective. Except for gross negligence or willful misconduct, neither party shall be liable for consequential, incidental or special damages.

Governing Law; Dispute Resolution

This Order shall be governed by and construed in accordance with the laws of the State of without regard to choice-of-law principles. Disputes arising under this Order shall be resolved by binding arbitration if the parties mutually agree; otherwise, the parties submit to the exclusive jurisdiction of the state and federal courts located in the governing state.

Entire Agreement

This Order, together with any exhibits, attachments, and written change orders signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, oral or written. Any modification must be in writing and signed by authorized representatives of both parties.
