WHEREAS, Party B desires to engage Party A to provide such services under the terms and conditions set forth in this Agreement, and Party A is willing to provide those services on the terms and conditions set forth below; and

WHEREAS, the parties intend for this Agreement to define their rights and obligations with respect to the services to be provided and to provide for payment, confidentiality, and governing law.

Scope of Work

Party A shall perform the services described below for Party B in a professional and workmanlike manner consistent with industry standards. Party A shall supply all labor, materials, equipment and supervision necessary to perform the services unless otherwise agreed in writing.

Payment Terms

In consideration for the services rendered by Party A, Party B shall pay Party A the fees and expenses set forth below. All payments shall be made in United States dollars unless otherwise agreed in writing.

(Number of days after invoice within which payment is due)

(Percent per month applied to overdue balances; compounded monthly if not paid)

Expenses agreed in advance and documented by receipts will be reimbursed by Party B. Reimbursable expenses are limited to travel, lodging, materials, and third-party vendor costs pre-approved in writing.

Term and Termination

This Agreement shall commence on the Effective Date and continue in full force until the completion of the Scope of Work or until the End Date set forth below, unless earlier terminated as provided herein.

(Number of days prior written notice required for termination without cause)

Either party may terminate this Agreement immediately upon written notice if the other party materially breaches any provision of this Agreement and fails to cure such breach within the notice period specified above. Termination shall not relieve either party of obligations accrued prior to termination, including payment for work performed.

Confidentiality

Confidential information does not include information which: (a) is or becomes publicly available through no fault of the Receiving Party; (b) is independently developed by the Receiving Party without reference to the Disclosing Party's confidential information; or (c) is rightfully obtained from a third party without breach of any obligation of confidentiality.

(Length of time confidentiality obligations survive termination)

The parties acknowledge that a breach of this confidentiality provision may cause irreparable harm for which monetary damages alone would be inadequate. Accordingly, the Disclosing Party shall be entitled to equitable relief, including injunction, in addition to any other remedies available at law or in equity.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state specified below, without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for disputes arising out of or relating to this Agreement.

Entire Agreement; Miscellaneous

This Agreement, including any exhibits or attachments signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations, and understandings, whether written or oral. No amendment or modification shall be binding unless in writing and signed by both parties.

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign or transfer this Agreement or any rights hereunder without the prior written consent of the other party, except that Party A may assign to an affiliate or successor in interest.

What the Business Print Version Means for Records and Signatures

A Business Print Version is a finalized, printable copy of a corporate document prepared for distribution, archival, or signature. It preserves layout, fonts, and embedded fields so parties can review a consistent record for approval, notarization, or physical filing. Organizations use a print version to create legally compliant hard copies, to satisfy institutional recordkeeping, and to provide signers who prefer or require paper-based execution. When paired with an electronic record and audit trail, the printed version should match the signed digital copy to avoid disputes about content or timing.

Why a Clear Business Print Version Matters for Compliance

A Business Print Version provides a reliable, human-readable record for signers, regulators, and internal files. It supports audits, notarization, and physical signatures while preserving consistency with electronic records under ESIGN and state e-signature laws.

Why a Clear Business Print Version Matters for Compliance

Who Prepares and Receives the Business Print Version

Organizations, administrators, and external partners use the Business Print Version to create consistent, signable paper copies and to support legal or archival workflows.

  • In-house administrators: prepare templates, maintain versions, and coordinate printing and distribution.
  • Authorized signers: CEOs, officers, managers who must execute printed agreements in person or via notarization.
  • External parties: vendors, lenders, customers needing hard copies for their records or compliance checks.

Use the guidance below to match who should prepare or accept printed copies and to assign signature authority clearly.

Essential Elements of a Professional Business Print Version

Core components define a professional Business Print Version: preserved layout, clear fields, signing blocks, record identifiers, and instructions for filing or notarization.

Layout Fidelity

Maintain original pagination, fonts, and margins to ensure the paper copy matches the electronic record; include version number and document ID to prevent confusion during signing or review.

Fillable Fields

Clearly mark where to enter dates, names, and amounts; provide guidance for block completion and indicate which fields are required versus optional to avoid incomplete submissions.

Signing Blocks

Designate lines for printed name, title, signature, and date for each party; include capacity statements (e.g., 'Authorized Officer') when organizations sign on behalf of entities.

Notary Block

If notarization is likely, include a jurisdiction-appropriate acknowledgement block and space for the notary's seal, signature, and commission expiration date to streamline notarization.

Audit References

Embed a document ID, barcode, or QR code that links to the electronic audit trail and record of signatures to reconcile paper and digital copies.

Distribution Notes

Specify routing instructions, who retains the original, and filing destinations; note any required accompanying documents to ensure complete submission.

Step-by-Step: From Draft to Signed Print Version

Follow these sequential steps to prepare, validate, and produce a compliant Business Print Version ready for signature and filing.

  • 01
Prepare Document: Assemble final text and insert version control metadata.
  • 02

  • 03
Review and Verify: Check for typos, completeness, and signer authority.
  • 04
Print or Export: Export PDF/A and produce printed copies or distribute digitally.

How the Print Version Moves Through the Workflow

A Business Print Version moves from drafting to signature and final filing across physical and electronic channels; these steps illustrate common routing patterns.

Practical Examples of Business Print Version Use

These brief examples show how organizations combine printed versions with electronic records to satisfy operational, legal, and regulatory needs.

Martin Properties

Martin Properties combined printed closing packets with matching electronic records to serve buyers and lenders in remote closings.

  • Closed deals faster in remote scenarios.
  • The firm kept print originals for lender files, matched each printed page to an audit-tracked electronic signature, and retained records per regulatory requirements to reduce disputes.

Fertility Centers of Illinois

A clinic used print versions with electronic forms to comply with clinical consent processes and retain HIPAA-required records.

  • Ensured privacy and auditability for consent forms.
  • Printed copies were stored securely while the electronic record included a detailed audit trail and BAA-covered processing, meeting retention and privacy obligations across patient files.

Best Practices to Improve Accuracy and Reduce Processing Time

Adopt these practical measures to improve consistency, reduce rework, and maintain legal defensibility for Business Print Versions.

Maintain a single master document source
Keep one master that is updated and locked before printing. Use version numbers and hashes so printed copies exactly match the archived electronic record; this avoids conflicting versions and simplifies audits and dispute resolution.
Verify signer authority and corporate capacity
Confirm that each signer has legal authority to bind the business. For organizational signers, include the signer's title and, when required, board resolutions or a corporate authorization to prevent challenges to enforceability.
Include clear notarization and witness instructions
If a signature must be notarized, provide a jurisdiction-specific acknowledgement block and space for the notary seal and commission data; instruct signers on acceptable ID and whether remote online notarization is permitted under state law.
Ensure paper copies match electronic audit trail
Embed document IDs or QR codes that link to the signed electronic record. Maintain a documented chain of custody for printed originals and scanned copies to support regulatory requests and legal discovery.
