GENERAL BUSINESS AGREEMENT

This General Business Agreement ("Agreement") is made and entered into effective as of by and between the parties identified below.

RECITALS

WHEREAS, Client requires certain business services and deliverables as set forth in this Agreement; and

WHEREAS, Service Provider represents that it has the qualifications, experience and ability to perform the services described herein on the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties agree as follows:

SCOPE OF WORK

Service Provider shall perform the services and deliver the work product described below. Services shall be performed in a professional manner consistent with industry standards.

PAYMENT TERMS

In consideration of the Services, Client shall pay Service Provider the fees set forth below in accordance with the schedule and conditions of this section.

Unless otherwise stated, invoices are due within thirty (30) days of receipt. Client is responsible for all reasonable collection costs, including attorneys' fees, incurred by Service Provider in enforcing payment.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon providing days' prior written notice to the other party. Either party may terminate immediately upon material breach by the other party that remains uncured for a period of thirty (30) days after written notice of such breach.

Upon termination, Client shall pay Service Provider for Services performed and expenses incurred through the effective date of termination. Service Provider shall deliver to Client all work in progress upon receipt of final payment for such work.

CONFIDENTIALITY

The parties acknowledge that in the course of performance each may receive or develop confidential or proprietary information of the other (collectively, "Confidential Information"). Each party agrees to hold Confidential Information in strict confidence and not to disclose such information except to its employees, contractors or advisors who have a need to know and who are bound to confidentiality obligations at least as protective as those herein.

Confidential Information shall not include information that: (a) is or becomes generally available to the public through no fault of the receiving party; (b) was in the receiving party's lawful possession prior to receipt from the disclosing party; (c) is lawfully obtained from a third party without restriction; or (d) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of without regard to its conflict of laws principles. Each party consents to the exclusive jurisdiction and venue of the courts located in that jurisdiction for any action arising out of or relating to this Agreement.

ENTIRE AGREEMENT; MISCELLANEOUS

This Agreement, including all exhibits and attachments hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. No modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except that either party may assign this Agreement to an affiliate or in connection with a merger, acquisition or sale of substantially all of its assets, provided that the assignee assumes all obligations hereunder. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

NOTICES

All notices required or permitted hereunder shall be in writing and delivered to the addresses provided above or to such other address as a party designates by notice to the other. Notices shall be deemed given upon personal delivery, one business day after delivery to an overnight courier, or three business days after deposit with the postal service.
