BUSINESS PRIORITY LETTER

WHEREAS

WHEREAS, Client Name: requires prioritized access to the Provider's services and dedicated response handling as set forth herein;

WHEREAS, Service Provider Name: is willing to provide priority handling, dedicated points of contact, and accelerated response times in exchange for the fees and commitments described in this Business Priority Letter;

WHEREAS, the parties wish to reduce to writing the scope, fees, terms, and obligations associated with the priority service arrangement.

Scope of Priority Services

The Provider shall deliver priority handling as described below. The precise duties, exclusions, and performance standards are set forth in the scope field and shall control in the event of any conflict with general descriptions elsewhere in this letter.

Priority Response Time Commitment: from initial receipt of a validated request during normal business hours.

Payment Terms

In consideration for priority services, Client shall pay Provider the fees specified below. All fees are payable in U.S. dollars unless otherwise agreed in writing.

All payments not received within the Payment Due period shall accrue the Late Fee set forth above and Provider may suspend or reduce priority services after providing Client with written notice and a reasonable cure period.

Term and Termination

This Business Priority Letter shall commence on the Start Date and continue until the End Date, unless earlier terminated in accordance with this section.

Either party may terminate this Business Priority Letter for material breach by the other party if such breach is not cured within the Notice Period following written notice. Termination for convenience requires the delivering party to provide the Notice Period specified above.

Confidentiality

Each party acknowledges that it may receive Confidential Information of the other party. Confidential Information shall mean non-public information disclosed in connection with this Business Priority Letter. Each receiving party shall (i) use Confidential Information solely to perform its obligations hereunder, (ii) protect Confidential Information using at least the same degree of care it uses to protect its own similar information, and (iii) not disclose Confidential Information to any third party except to employees, contractors, advisors or affiliates who have a need to know and are bound by confidentiality obligations no less restrictive than those herein.

Governing Law

This Business Priority Letter shall be governed by and construed in accordance with the laws of the state identified below, without regard to conflict of law principles.

Entire Agreement

This Business Priority Letter, together with any exhibits or statements of work expressly incorporated by reference, constitutes the entire agreement between the parties with respect to priority services and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment or modification shall be effective unless in writing and signed by authorized representatives of both parties.

Notices

All notices, invoices and communications required or permitted under this Business Priority Letter shall be in writing and delivered to the addresses below by hand, prepaid courier, or certified mail (return receipt requested) and shall be deemed given upon receipt.

Additional Provisions

The Provider's obligation to provide priority services is subject to Client's compliance with payment terms, provision of necessary access and cooperation, and any applicable laws and third-party terms. Provider shall not be liable for delays or failures caused by events beyond Provider's reasonable control.

By checking this box, the parties agree that, unless terminated in accordance with the Term and Termination section, this Business Priority Letter will automatically renew for successive renewal periods of the same length as the initial term.
