Business Private Agreement

This Business Private Agreement (the Agreement) is entered into as of Effective Date: by and between:

RECITALS

WHEREAS, the Client is engaged in the business described in its records and desires to retain the Provider to perform certain services described herein; and

WHEREAS, the Provider represents that it has the experience, qualifications and capacity to perform the services under the terms of this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations in a private, binding agreement subject to the terms below.

SCOPE OF WORK

The Provider shall perform the services and deliverables described in the scope below. The Provider shall exercise commercially reasonable care and skill in performing the services and shall comply with applicable laws and industry standards.

PAYMENT TERMS

Compensation under this Agreement shall be as follows. All amounts referenced are in United States dollars unless otherwise agreed in writing.

Late payments shall accrue interest at the rate of per month, compounded monthly, or the maximum permitted by law, whichever is less. In addition, a minimum late payment charge of will apply to any invoice past due.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue in effect until End Date: unless terminated earlier pursuant to this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party provided at least days prior to the effective date of termination. Either party may terminate for material breach if the breaching party fails to cure such breach within days after written notice of the breach.

Termination shall not relieve either party of obligations accrued prior to termination. Upon termination, the Provider shall deliver all completed work and any work in progress and shall invoice the Client for services performed through the effective date of termination.

CONFIDENTIALITY

Each party (the Receiving Party) shall keep confidential and shall not disclose to any third party any Confidential Information disclosed by the other party (the Disclosing Party). "Confidential Information" means non-public business, technical or financial information, trade secrets, customer lists, and other information that is identified as confidential or that reasonably should be understood to be confidential given its nature and the circumstances of disclosure.

The obligations of confidentiality shall not apply to information that: (a) is or becomes generally available to the public through no fault of the Receiving Party; (b) is rightfully received by the Receiving Party from a third party without restriction; (c) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information; or (d) is required to be disclosed by law or valid legal process, provided the Receiving Party gives prompt written notice to the Disclosing Party and cooperates in any lawful effort to limit such disclosure.

Upon termination or upon written request, the Receiving Party shall promptly return or destroy all Confidential Information of the Disclosing Party and certify in writing that it has complied with this obligation. The obligations of confidentiality shall survive termination of this Agreement for the period specified above.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Each party shall indemnify, defend and hold harmless the other party and its officers, directors and employees from and against any third-party claims arising out of the indemnifying party's negligence, willful misconduct, or material breach of this Agreement. The indemnified party shall provide prompt written notice of any claim and reasonable cooperation in defense.

Except for liability arising from indemnification obligations, gross negligence or willful misconduct, in no event shall either party be liable to the other for special, incidental, consequential, punitive or exemplary damages, including lost profits, even if advised of the possibility of such damages. The aggregate liability of each party arising out of or in connection with this Agreement shall not exceed the total amount paid by the Client to the Provider under this Agreement during the twelve (12) months preceding the event giving rise to the claim.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties agree that any dispute arising under this Agreement shall be resolved in the state or federal courts located within that State, and each party submits to the exclusive jurisdiction of those courts.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any exhibits and attachments expressly incorporated herein, constitutes the entire understanding between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral.

No amendment or modification of this Agreement shall be effective unless made in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, except that either party may assign this Agreement in connection with a merger, sale of substantially all assets, or change of control provided the assignee assumes all obligations hereunder.
