BUSINESS PRIVATE CONTRACT

This Business Private Contract (the "Agreement") is entered into as of by and between:

RECITALS

WHEREAS, Client desires to engage Contractor to perform certain services described in this Agreement, and Contractor represents that it has the skill, personnel and resources to perform such services in a professional manner; and

WHEREAS, the parties wish to set forth the terms and conditions under which Contractor will perform the services and Client will compensate Contractor.

NOW, THEREFORE, in consideration of the mutual covenants set forth herein, the parties agree as follows:

1. SCOPE OF WORK

Contractor shall perform the services and deliver the deliverables described below (the "Services"). Contractor shall perform the Services in accordance with professional industry standards and within the timeframes set forth in this Agreement or any mutually agreed written schedule.

2. PAYMENT TERMS

Client shall pay Contractor the fees set forth below in consideration for the performance of the Services. All payments shall be made in lawful currency of the United States unless otherwise agreed in writing.

Invoices shall be submitted by Contractor in writing and are payable within the number of days specified in the payment schedule. If Client fails to pay any amount when due, Client shall pay interest on the past due amount at the rate specified above and shall reimburse Contractor for costs of collection, including reasonable attorneys' fees.

3. TERM AND TERMINATION

This Agreement shall commence on the Start Date and continue until the End Date unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period specified above. Client may also terminate for convenience upon providing the notice period, in which case Client shall pay Contractor for Services performed and reasonable costs incurred up to the effective date of termination.

4. CONFIDENTIALITY

Each party acknowledges that in the course of performance it may receive Confidential Information of the other party. "Confidential Information" means information that is marked confidential or that a reasonable person should understand to be confidential given its nature.

Confidentiality obligations shall survive termination or expiration of this Agreement for a period of years, except with respect to trade secrets, for which protection shall remain for so long as the information qualifies as a trade secret under applicable law.

5. REPRESENTATIONS; LIMITATION OF LIABILITY

Each party represents that it has full power and authority to enter into this Agreement. Contractor represents that the Services will be performed in a professional manner consistent with industry standards. Except for willful misconduct or gross negligence, neither party shall be liable to the other for incidental, special, consequential, or punitive damages. Total aggregate liability shall be limited to the fees paid under this Agreement in the twelve (12) months preceding the claim.

6. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

7. ENTIRE AGREEMENT; AMENDMENT

This Agreement, including all schedules and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements and understandings, written or oral. No modification or amendment shall be effective unless in writing and signed by authorized representatives of both parties.

8. MISCELLANEOUS

Assignment: Neither party may assign this Agreement without the other party's prior written consent, except that either party may assign to an affiliate or in connection with a merger or sale of substantially all assets.

Severability: If any provision is held unenforceable, the remainder shall remain in full force and effect and the parties shall negotiate a substitute provision that reflects the original intent.
