This Business PRO Document (the Agreement) is entered into effective as of by and between:

Recitals

WHEREAS, Service Provider is engaged in providing professional representation, permit procurement, regulatory liaison and related business-procurement services tailored to corporate clients; and

WHEREAS, Client desires to retain Service Provider to perform the Scope of Work described in this Agreement and Service Provider is willing to provide such services under the terms set forth herein.

Scope of Work

Service Provider shall perform the services set forth below. Services shall include professional representation, filing and tracking of regulatory submissions, coordination with third-party vendors, status reporting to Client, and such ancillary services as are reasonably necessary to accomplish the listed objectives.

Payment Terms

Client shall pay Service Provider the fees described below in consideration for the services rendered under this Agreement.

If any payment due to Service Provider is not received within days of the due date, Client shall pay a late fee equal to per month on the outstanding balance, compounded monthly, until paid in full.

Term and Termination

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate for material breach if the breaching party fails to cure such breach within days after receipt of written notice specifying the breach.

Confidentiality

Each party (the Recipient) shall hold in strict confidence all non-public, proprietary or confidential information disclosed by the other party (the Discloser) in connection with this Agreement, whether oral, written or electronic (Confidential Information). Recipient shall not use Confidential Information for any purpose other than performing its obligations under this Agreement and shall not disclose it to third parties except to employees, contractors or agents who have a need to know and are bound by confidentiality obligations at least as restrictive as those herein.

Confidential Information does not include information that: (i) is or becomes generally available to the public other than as a result of a breach of this Agreement by Recipient; (ii) was rightfully in Recipient's possession prior to disclosure by Discloser; or (iii) is independently developed by Recipient without use of the Discloser's Confidential Information. Upon termination or request, Recipient will promptly return or destroy Discloser's Confidential Information and certify such return or destruction in writing.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the courts located within that jurisdiction for disputes arising out of or relating to this Agreement.

Entire Agreement

This Agreement, together with any exhibits or schedules expressly incorporated herein and any written amendments executed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous negotiations, representations, promises, agreements and understandings, whether written or oral. No modification of this Agreement is binding unless in writing and signed by both parties.

Additional Provisions

Independent Contractor. Service Provider is an independent contractor and not an employee, agent or partner of Client. Nothing in this Agreement creates a joint venture or partnership between the parties.

Assignment. Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger, sale of substantially all assets, or a change of control provided the assignee assumes all obligations hereunder.
