The receiving party shall (a) hold Confidential Information in strict confidence; (b) not disclose Confidential Information except to employees, contractors or advisors with a need to know who are bound by equivalent confidentiality obligations; and (c) use Confidential Information solely for performance or enforcement of this Procedure. Confidentiality obligations do not apply to information that is (i) publicly known through no breach by the receiving party, (ii) rightfully received from a third party without similar restrictions, (iii) independently developed without use of the other party’s Confidential Information, or (iv) required to be disclosed by law or valid order of a court or regulatory authority provided the disclosing party is given prompt notice to seek protective relief.

7. Records, Audit and Retention

Each party shall maintain accurate records sufficient to demonstrate compliance with this Procedure for a period of no less than years. Upon reasonable notice, the other party may audit such records during normal business hours. Any audit shall be conducted in a manner that minimizes disruption and preserves confidentiality.

Each party shall comply with applicable laws and regulations in performing its obligations. The Procedure Owner shall maintain appropriate insurance coverage customary for the services performed and provide evidence of insurance upon reasonable request.

9. Governing Law; Dispute Resolution

This Procedure shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties shall attempt in good faith to resolve disputes promptly by negotiations between senior executives. If unresolved within thirty (30) days, either party may pursue any remedy available at law or in equity in the courts of the governing state.

10. Entire Agreement; Amendments

This Procedure, together with any exhibits or attachments expressly incorporated by reference, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings and communications, whether written or oral. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.

If any provision of this Procedure is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. No waiver of any right or remedy is effective unless in writing and signed by the waiving party.
