WHEREAS

WHEREAS, Client seeks the performance of the business process activity identified as Step 2 of the Client's internal workflow, reference code , which requires planning, execution of designated tasks, and documented acceptance criteria; and

WHEREAS, Service Provider represents that it has the personnel, systems, and expertise necessary to perform Step 2 services in accordance with the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth their respective roles, deliverables, schedule, compensation and confidentiality obligations for such Step 2 work.

SCOPE OF WORK

Service Provider shall perform the tasks and produce the deliverables for Business Process Step 2 as described below. All deliverables must conform to the acceptance criteria set by Client and shall be delivered in the format and media reasonably requested by Client.

PAYMENT TERMS

Client shall compensate Service Provider for the performance of Step 2 work in accordance with the following terms. All fees are payable in United States dollars and exclusive of taxes unless otherwise stated.

TERM AND TERMINATION

The term of this Agreement shall commence on the Start Date and shall continue until the End Date, unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period specified above following written notice. Termination shall not relieve either party of obligations accrued prior to termination, including payment for services rendered and return or destruction of confidential information as required by this Agreement.

CONFIDENTIALITY

Each party acknowledges that during the term of this Agreement it may receive confidential and proprietary information of the other party. "Confidential Information" means non-public information disclosed in tangible or intangible form that is identified as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure.

Each party agrees to: (a) hold Confidential Information in confidence using at least the same degree of care it uses for its own confidential information but no less than reasonable care; (b) not disclose Confidential Information to third parties except to its employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein; and (c) use Confidential Information only to perform its obligations under this Agreement. Obligations of confidentiality shall not apply to information that is or becomes publicly available through no wrongful act of the receiving party, was known to the receiving party prior to disclosure, or is required to be disclosed by law (provided the disclosing party is given prompt notice where lawful and practicable).

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of , without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that jurisdiction for any disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including all exhibits and attachments executed by the parties, constitutes the entire agreement between the parties relating to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and understandings, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.
