The receiving party will protect Confidential Information using at least the same degree of care it uses to protect its own confidential information but in no event less than reasonable care.

Confidentiality obligations shall survive termination or expiration for a period of three (3) years, except that trade secrets shall remain protected for as long as they qualify as trade secrets under applicable law.

GOVERNING LAW

This Notification and all disputes arising out of or relating to it shall be governed by and construed in accordance with the laws of Governing State: , without regard to conflict of laws principles.
