BUSINESS PROGRAM CHARTER

This Business Program Charter (the "Charter") is entered into as of by and between:

RECITALS

WHEREAS, the Program Sponsor seeks to establish and govern a business program designed to achieve strategic objectives, increase operational efficiency, and deliver specified outcomes set forth in this Charter; and

WHEREAS, the Program Provider represents that it possesses the expertise, resources and personnel necessary to design, implement and operate the program described herein in accordance with the Scope of Work and terms provided below; and

WHEREAS, the parties desire to set forth in this Charter the program objectives, governance, scope, deliverables, financial terms, confidentiality obligations and other material terms governing their relationship.

SCOPE OF WORK

The Program Provider shall perform the services and deliverables necessary to establish, operate and transfer the program in accordance with this Charter. The detailed scope, milestones and acceptance criteria are described below and in associated schedules incorporated by reference to this Charter.

PROGRAM OBJECTIVES

The program objectives are to be achieved in accordance with measurable outcomes and acceptance criteria agreed by the parties. Objectives include, without limitation, improving specified business metrics, delivering approved deliverables, and achieving stakeholder satisfaction as described below.

GOVERNANCE AND ROLES

The Program Sponsor shall act as the executive sponsor and retain ultimate decision authority for scope, budget and acceptance of major milestones. The Program Provider shall appoint a Program Manager to oversee day-to-day delivery and compliance with this Charter.

PAYMENT TERMS

The Program Sponsor shall pay the Program Provider for services and deliverables as follows. Amounts are exclusive of applicable taxes unless otherwise stated.

Invoices are due in accordance with the Payment Schedule. Unpaid amounts past the due date shall accrue the Late Payment Fee and the Sponsor shall be responsible for reasonable collection costs, including attorney fees, if collection becomes necessary.

TERM AND TERMINATION

The program shall commence on and shall continue until unless earlier terminated in accordance with this Charter.

Either party may terminate this Charter for material breach by the other party if the breaching party fails to cure the breach within the Notice Period following written notice. Termination for convenience requires the providing party to provide the Notice Period and to settle all undisputed fees and costs incurred through the effective date of termination.

CONFIDENTIALITY

Each party shall maintain in confidence all non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information shall not include information that is or becomes publicly available through no fault of the receiving party, or properly received from a third party without breach of an obligation of confidentiality.

REPORTING AND ACCEPTANCE

GOVERNING LAW AND ENTIRE AGREEMENT

This Charter shall be governed by and construed in accordance with the laws of without regard to conflict of laws principles.

This Charter, together with any schedules and attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification to this Charter must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

Each party represents and warrants that it has the full corporate power and authority to enter into this Charter and to perform its obligations hereunder. Neither party shall assign or delegate its rights or obligations under this Charter without the prior written consent of the other party, except to an affiliate or in connection with a merger, acquisition or sale of substantially all of its assets.

If any provision of this Charter is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect and the parties shall negotiate in good faith to replace the invalid or unenforceable provision with a valid provision that achieves, to the extent possible, the original economic, legal and commercial objective.
