Either party may terminate this agreement for material breach if the breach is not cured within days after written notice. Termination shall not relieve Client of obligation to pay for work properly performed prior to termination.

Confidentiality

Each party shall maintain in confidence all non-public business, technical or financial information disclosed by the other party in connection with the performance and completion of the project. Information shall not be disclosed except to employees, agents or contractors on a need-to-know basis and only to the extent necessary for completion, and such recipients shall be bound by obligations of confidentiality at least as protective as those set forth herein.

Confidentiality exceptions include information that is independently developed, already in the receiving party’s possession without restriction, or required to be disclosed by law or valid subpoena, provided the disclosing party is given prompt notice and opportunity to seek protective measures.

Contractor represents that all work has been performed in a professional manner consistent with industry standards and in compliance with applicable laws and regulations. Contractor warrants that it has paid or will pay all subcontractors and suppliers and will, upon receipt of final payment, execute and deliver lien releases and waivers required by Client.

Governing Law

This form and any disputes arising out of or relating to it shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

Entire Agreement

This Business Project Completion Form, together with the underlying contract and any executed change orders, constitutes the entire agreement between the parties with respect to the matters addressed herein and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral.
