Recitals

WHEREAS, Promisor represents that it has the capacity and resources to perform the obligations described in this Agreement with professional care and in a timely manner; and

WHEREAS, Promisee desires to obtain the services and deliverables described below, and Promisor agrees to provide such services under the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties agree as follows as of Effective Date:

Scope of Work

Promisor shall perform the services and deliver the work product described below. The description establishes the primary obligations of Promisor; additional details, milestones, and acceptance criteria shall be as set forth or agreed in writing by the parties.

Payment Terms

Promisee shall compensate Promisor for the services and deliverables in accordance with the schedule and amounts below. All payments are due in United States dollars unless otherwise agreed in writing.

In the event any invoice is not paid within days of issuance, interest shall accrue at the lesser of a late fee equal to % per month or the maximum rate permitted by law. Alternatively, the parties agree that a flat late fee of may be assessed for delinquent invoices.

All amounts due under this Agreement are exclusive of taxes. Promisee shall be responsible for any taxes, duties or similar charges imposed on payments under this Agreement, except for taxes based on Promisor's net income.

Term and Termination

This Agreement commences on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon providing days' prior written notice to the other party. Either party may terminate immediately for material breach if the breaching party fails to cure the breach within a commercially reasonable period, not to exceed 30 days, after receipt of written notice specifying the breach.

Upon termination, Promisee shall pay Promisor for all services performed and reimbursable expenses incurred through the effective date of termination. Sections concerning payment, confidentiality, indemnity, and limitations of liability shall survive termination or expiration to the extent necessary to effectuate their intent.

Confidentiality

Each party (the "Receiving Party") shall hold in confidence all non-public information disclosed by the other party (the "Disclosing Party") that is marked confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). The Receiving Party shall not use Confidential Information except to perform its obligations or exercise its rights under this Agreement, and shall not disclose Confidential Information to any third party except to its employees, agents, or contractors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein.

Confidential Information does not include information that: (a) is or becomes generally available to the public other than as a result of a breach of this Agreement; (b) was in the Receiving Party's possession prior to receipt from the Disclosing Party; (c) is rightfully received by the Receiving Party from a third party without restriction; or (d) is independently developed by the Receiving Party without use of or reference to the Disclosing Party's Confidential Information. If the Receiving Party is compelled by law or order to disclose Confidential Information, it shall provide prompt notice to the Disclosing Party to permit a protective order or other remedy.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for disputes arising out of or relating to this Agreement.

Entire Agreement; Amendment

This Agreement, including any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. No amendment, modification, or waiver shall be effective unless in writing and signed by both parties.

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect and shall be construed so as to effectuate as nearly as possible the intent of the parties.
