BUSINESS PROMOTION LETTER

Recitals

WHEREAS, Promoter: is engaged in marketing, advertising and promotional services; and

WHEREAS, Client: desires to engage Promoter to provide promotion services on the terms set forth in this Letter; and

WHEREAS, the parties agree that this Business Promotion Letter sets forth the material terms of the engagement effective as of . The parties intend this document to be binding.

Scope of Work

Promoter shall perform promotional services for Client as described below. Services shall be performed in a professional manner consistent with industry standards. The Promoter will not materially deviate from the agreed elements of the Scope of Work without prior written approval from the Client.

Payment Terms

Client shall pay Promoter the fees set forth below in exchange for the Services. Fees are exclusive of taxes unless otherwise stated. All payments shall be made in United States dollars unless the parties agree in writing otherwise.

Late payments shall incur interest at the lesser of (i) the maximum rate permitted by applicable law, or (ii) % per month on overdue balances, calculated monthly and compounded where permitted.

Term and Termination

This Letter shall commence on the Start Date and continue until the End Date, unless earlier terminated in accordance with this section. The Start Date is and the End Date is .

Either party may terminate this Letter for convenience upon written notice to the other party given not less than prior to the effective termination date. Either party may terminate immediately for material breach that remains uncured for a period of thirty (30) days after written notice of such breach.

Confidentiality

Each party (the "Receiving Party") shall hold in confidence all non-public business, technical and financial information disclosed by the other party (the "Disclosing Party") that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information. Confidential information shall not include information that is (a) publicly known through no fault of the Receiving Party, (b) independently developed by the Receiving Party without use of the Disclosing Party's confidential information, or (c) required to be disclosed by law provided the Receiving Party gives prompt notice and assists the Disclosing Party in seeking a protective order.

Governing Law

This Letter shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for any dispute arising out of or relating to this Letter.

Entire Agreement

This Letter, including the Scope of Work and Payment Terms set forth herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. Any modification must be in writing and signed by authorized representatives of both parties.

Miscellaneous

Neither party may assign this Letter without the prior written consent of the other, except that Promoter may assign to an affiliate. The invalidity or unenforceability of any provision shall not affect the remainder of this Letter. Headings are for convenience only and do not affect interpretation.
