What a Business Proportionality Letter Is and When It’s Used

A Business Proportionality Letter explains how a company applied proportionality principles when making a business decision, responding to regulatory requests, or allocating resources. It states the factual basis for proportional treatment, cites the metrics or methodology used, and describes any limits or trade-offs. Organizations use it to document rationale for decisions that affect stakeholders, to support regulatory or contractual compliance reviews, and to provide transparent evidence in audits or disputes. The letter should be factual, narrowly tailored to the issue, and signed by an authorized representative with authority to bind the business.

Why a Clear Proportionality Letter Matters

A concise Business Proportionality Letter preserves evidence of decision methodology, demonstrates compliance with applicable standards, and reduces ambiguity in audits or disputes.

Why a Clear Proportionality Letter Matters

Typical Users and Stakeholders

Organizations prepare Business Proportionality Letters when responding to regulators, contractual counterparties, internal audit requests, or third-party inquiries.

  • Compliance and legal teams drafting rationale for regulatory or contractual reviews
  • Operational managers documenting resource allocation or risk-based decisions
  • External counsel or consultants preparing evidence for audits or disputes

The letter is often routed to signatories with organizational authority and retained alongside the underlying documents that informed the proportionality determination.

Core Parts of a Professional Business Proportionality Letter

A well-structured letter is concise and evidence-based. Use plain language, reference supporting data, and identify the authority and timeframe for the decision.

Header and Parties

Identify the organization, recipient, and date; include contact information and a clear subject line describing the proportionality issue.

Statement of Purpose

Summarize why the letter is issued, the decision or action under review, and the specific proportionality question being addressed.

Facts and Assumptions

List material facts, data sources, and assumptions that informed the proportionality analysis; attach exhibits or data extracts where helpful.

Methodology

Describe the metrics, thresholds, or tests applied and explain why they were chosen as proportionate to the risk or benefit.

Conclusion

Provide a clear, concise conclusion that ties the factual record and methodology to the proportionality determination.

Signature Block

Name, title, signature, and date of the individual authorized to attest to the facts and methodology; note any reviewer or approver.

Step-by-Step: Drafting and Approving the Letter

Follow a simple sequence to prepare, review, and finalize a Business Proportionality Letter to ensure accuracy and traceability.

  • 01
Draft the Facts: Collect relevant data and write a neutral factual summary.
  • 02
Apply the Methodology: Document the tests or metrics used and why they are appropriate.
  • 03
Internal Review: Have legal or compliance review for completeness and risks.
  • 04
Sign and Distribute: Obtain authorized signature and send to recipients with retention note.

How to Configure an Online Completion Workflow

Set up a stepwise digital workflow to collect inputs, route for approvals, and capture a signed final letter.

Field Configuration
Requester Input Make required; attach supporting exhibits
Reviewer Step Sequential routing to legal/compliance
Signer Authentication Use email + SMS or higher assurance as needed
Final Delivery Auto-send signed PDF to recipients and archive

Where to Send or File the Completed Letter

Identify the intended recipients and any filing repository before finalizing the letter to streamline delivery and retention.

  • Regulatory Submission: Deliver to the named regulator or case contact per request instructions.
  • Counterparty Delivery: Send to contractual counterparties via certified email or secure portal.
  • Internal Records: Archive in the corporate records management system with cross-references to supporting data.
  • Audit Package: Include with internal audit files and evidence exhibits for future inspection.

Digital Signing and Distribution Considerations

Choose a secure e-signature workflow that supports audit trails, authentication, and long-term storage for evidentiary purposes.

  • Authentication: Email + SMS code or stronger KBA where required
  • Audit Trail: Timestamp, IP, and action log retained
  • File Formats: Export signed PDF/A or PDF with embedded certificate

Ensure the platform chosen can meet any regulatory requirements (e.g., HIPAA BAA or 21 CFR Part 11 controls) and supports secure archival and reproducible audit records.

Typical Timing and Response Expectations

Timelines vary by requester. Document internal deadlines and delivery confirmations to avoid disputes over timeliness.

Provide letter within the timeframe requested by the regulator or counterparty

Standard Response Window:

Commonly 30 calendar days for initial responses

Signed Copy Retention:
