This Business Proposal Acceptance (the "Acceptance") is made and entered into as of by and between:

Termination for Cause: Either party may terminate immediately upon written notice if the other party materially breaches any provision of this Acceptance and fails to cure such breach within 15 days after receipt of written notice specifying the breach.

Confidentiality

Each party shall maintain in strict confidence all non-public, confidential or proprietary information disclosed by the other party in connection with this Acceptance ("Confidential Information"). Confidential Information does not include information that: (a) is or becomes generally available to the public other than through a breach of this clause; (b) was lawfully in the receiving party's possession prior to disclosure; or (c) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

The receiving party shall not use Confidential Information for any purpose other than performing its obligations under this Acceptance and shall return or destroy Confidential Information upon termination or written request. The parties acknowledge that a breach of this confidentiality provision may cause irreparable harm for which monetary damages would be inadequate and that the non-breaching party shall be entitled to injunctive relief in addition to any other remedies.

Representations; Indemnification

Governing Law

This Acceptance shall be governed by and construed in accordance with the laws of the State of , without regard to conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for dispute resolution.

Entire Agreement

This Acceptance, together with the referenced Proposal incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiating materials, communications and representations, whether written or oral.
