BUSINESS PROPOSAL AGREEMENT

This Business Proposal Agreement (the "Agreement") is entered into as of by and between:

RECITALS

WHEREAS, Client seeks professional services to perform the work described in this Agreement, including but not limited to analysis, development and delivery of the proposed business solution identified as ""; and

WHEREAS, Service Provider represents that it has the experience, personnel and resources necessary to perform the services and deliverables set forth herein and is willing to undertake such work subject to the terms and conditions of this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the proposed services.

SCOPE OF WORK

Service Provider shall perform the services and deliver the materials described below. The scope may be amended only by written change order signed by both parties.

PAYMENT TERMS

In consideration for the services and deliverables, Client shall pay Service Provider as follows.

Invoices are payable within days of invoice date. Overdue amounts will incur a late fee of on the outstanding balance, or the maximum amount permitted by applicable law, whichever is less.

TERM AND TERMINATION

The term of this Agreement shall commence on and shall continue until , unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate for cause if the other party materially breaches this Agreement and fails to cure such breach within days after receipt of written notice specifying the breach.

Upon termination, Client shall pay Service Provider for all work performed and expenses incurred up to the effective date of termination. Sections that by their nature survive termination shall remain in effect.

CONFIDENTIALITY

For purposes of this Agreement, "Confidential Information" means any non-public information disclosed by one party to the other, whether in writing, orally, visually or electronically, that is designated as confidential or that a reasonable person would understand to be confidential. Confidential Information excludes information that: (a) is or becomes generally available to the public through no fault of the receiving party; (b) was rightfully in the receiving party's possession prior to disclosure; (c) is received without restriction from a third party having the right to disclose; or (d) is independently developed by the receiving party.

Each party shall: (i) use Confidential Information solely to perform its obligations under this Agreement; (ii) restrict disclosure of Confidential Information to those of its employees, agents or subcontractors with a need to know and who are bound by confidentiality obligations at least as protective as those contained herein; and (iii) protect Confidential Information using the same degree of care it uses to protect its own confidential information, but no less than reasonable care. Remedies at law for breach of this provision may be inadequate; the non-breaching party shall be entitled to injunctive relief in addition to other remedies.

INDEMNIFICATION & LIMITATION OF LIABILITY

Service Provider shall indemnify and hold harmless Client from third-party claims arising from Service Provider's gross negligence, willful misconduct, or breach of this Agreement. Client shall indemnify and hold harmless Service Provider from third-party claims arising from Client's misuse of deliverables or breach of this Agreement. Neither party shall be liable for consequential, incidental, punitive or special damages, except for liability arising from (a) indemnification obligations, or (b) willful misconduct.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws rules. Any dispute arising out of or related to this Agreement shall be resolved in the state or federal courts located in that State.

ENTIRE AGREEMENT

This Agreement, including any exhibits or written change orders signed by both parties, constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior proposals, negotiations, representations and agreements, whether written or oral. No amendment will be effective unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

The relationship of the parties is that of independent contractors. Neither party may assign its rights under this Agreement without the prior written consent of the other, except to a successor by way of merger or sale of substantially all assets. If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect.
