Either party may terminate this Contract for convenience upon written notice to the other party delivered at least days prior to the effective termination date. Termination for cause shall be permitted on material breach where the breaching party fails to cure the breach within thirty (30) days after receipt of written notice of such breach unless a different cure period is specified herein.

CONFIDENTIALITY

Definition: "Confidential Information" means non-public, proprietary information disclosed by one party to the other, including business plans, technical data, pricing, proposals, designs, specifications, and customer information, whether disclosed orally, visually, or in writing.

Obligation: Each party agrees to hold Confidential Information in strict confidence, to use it only for the purposes of performing this Contract, and not to disclose it to any third party except to personnel or advisors who have a need to know and who are bound to maintain confidentiality at least as protective as this Contract. The receiving party shall use at least reasonable care to protect Confidential Information.

Exceptions: Confidential Information does not include information that is (i) in the public domain other than by breach of this Contract, (ii) rightfully received from a third party without restriction, or (iii) independently developed without use of the other party's Confidential Information.

Duration of Obligation: The obligations of confidentiality shall survive termination of this Contract for a period of unless otherwise required by law.

GOVERNING LAW

This Contract shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for the resolution of disputes arising under this Contract.

ENTIRE AGREEMENT
