RECITALS

WHEREAS, Client seeks professional services and deliverables described herein, and requires a concise proposal paragraph to be included in Client's procurement or bid documents; and

WHEREAS, Contractor represents that it has the experience, personnel, and capability to prepare and provide the proposal paragraph and related scope of services in accordance with the terms of this Agreement; and

BUSINESS PROPOSAL PARAGRAPH

The following paragraph is the formal, client-ready summary that Contractor will deliver for inclusion in Client procurement materials. This paragraph shall be final upon Client approval and shall not materially deviate from the approved text without Client's written consent.

SCOPE OF WORK

Contractor shall prepare, revise as reasonably requested, and deliver the proposal paragraph and any accompanying summary materials, including one round of edits following initial Client review. Deliverables shall conform to industry standards and to the specifications set forth below.

PAYMENT TERMS

Client shall pay Contractor for the services described in this Agreement in accordance with the schedule below. All fees are exclusive of applicable taxes unless otherwise stated.

TERM AND TERMINATION

The term of this Agreement commences on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon prior written notice to the other party given at least days prior to the intended termination date. Either party may terminate immediately for material breach if such breach remains uncured for a period of 10 days after written notice.

CONFIDENTIALITY

Each party acknowledges that during performance it may have access to the other's confidential information. "Confidential Information" means non-public information disclosed in any form that is designated confidential or that a reasonable person should understand to be confidential given the nature of the information and the circumstances of disclosure. Recipient shall (i) use Confidential Information solely for performing rights and obligations under this Agreement, (ii) restrict disclosure to employees, agents or subcontractors with a need to know and who are bound by confidentiality obligations no less protective than those herein, and (iii) take reasonable measures to protect confidentiality. Confidential Information does not include information that is or becomes generally known to the public other than through a breach of this Agreement, already known to the recipient, lawfully received from a third party without restriction, or independently developed without use of the disclosing party's Confidential Information. Upon termination, Recipient shall return or destroy Confidential Information as requested by Discloser.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in that state for any dispute arising out of or relating to this Agreement.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including all attached or incorporated documents, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, statements and communications, whether oral or written. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Neither party may assign its rights under this Agreement without the prior written consent of the other party, except to a successor in interest by merger or sale of substantially all assets. If any provision is held invalid, the remainder shall remain in effect. The parties acknowledge that monetary damages may be insufficient remedy for breach of confidentiality or proprietary provisions and that injunctive relief may be an appropriate remedy in addition to other remedies.
