Recitals

Either party may terminate this Proposal for convenience upon written notice to the other party provided at least days prior to the effective termination date.

Confidentiality

Exclusions: Confidential Information shall not include information that is or becomes generally known to the public other than through a breach of this Proposal, that is rightfully received from a third party without confidentiality obligations, or that is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information.

Intellectual Property

Work Product: Subject to timely payment in full of all amounts due, Contractor hereby assigns to Client all right, title and interest in and to the deliverables created specifically for Client under this Proposal, excluding Contractor's pre-existing intellectual property and any general know‑how, methodologies, templates or tools that Contractor uses in providing services.

Contractor retains a perpetual, non-exclusive, worldwide, royalty-free license to use its general methodologies, tools, techniques and experience for other clients, provided that no Confidential Information of Client is disclosed.

Governing Law

This Proposal shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

Entire Agreement
