BUSINESS PROPOSAL REVIEW

This Business Proposal Review Agreement (the Agreement) is entered into by the parties identified below for the purpose of recording the scope, findings, recommendations, and terms under which a professional review of a business proposal will be conducted.

WHEREAS

WHEREAS, the Client has prepared a business proposal identified as Proposal Title: dated , and desires an independent, written review of the proposal's structure, assumptions, financials, and market rationale; and

WHEREAS, the Reviewer represents that it has the experience, personnel, and resources necessary to perform an objective review and to issue findings and recommendations to assist the Client in improving the proposal and readiness for presentation to third parties.

Scope of Work

Evaluation Criteria and Deliverables

The Reviewer will evaluate the proposal against the following criteria: clarity of objectives, feasibility of assumptions, completeness of financial projections, market analysis adequacy, and risk identification. Deliverables shall include a written Review Report and a Recommended Revision Summary.

Payment Terms

Term and Termination

The engagement shall commence on and shall continue until completion of the Deliverables or termination in accordance with this Agreement.

Either party may terminate this engagement for convenience upon written notice to the other party given at least the notice period specified above. Termination for cause may be immediate if a material breach is not cured within ten (10) days after written notice of such breach. Upon termination, the Reviewer shall deliver all completed work and shall be entitled to payment for services performed and reimbursable expenses incurred through the effective date of termination.

Confidentiality

The Reviewer acknowledges that the Client's proposal materials and related information are confidential business information. The Reviewer shall hold in confidence and not disclose such Confidential Information except (a) to employees, contractors, and advisors who have a need to know and are bound to confidentiality obligations no less protective than those herein, or (b) as required by law or court order, provided the Reviewer gives the Client prompt written notice to allow the Client to seek protective relief. Confidential Information does not include information that: (i) is or becomes publicly available other than by a breach of this Agreement; (ii) is rightfully received from a third party without restriction; or (iii) is independently developed by the Reviewer without use of the Client's Confidential Information. The obligations under this clause shall survive termination or expiration of this Agreement for a period of three (3) years.

Limitation of Liability

The Reviewer will perform services with reasonable skill and care but does not guarantee outcomes, investment returns, or acceptance of the proposal by third parties. Except for liability arising from gross negligence or willful misconduct, each party's aggregate liability to the other arising out of or relating to this Agreement shall not exceed the fees paid to the Reviewer under this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles.

Entire Agreement

This Agreement, together with any written scope attachments and appended schedules, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and understandings, whether written or oral. Any amendment or modification must be in writing and signed by both parties.

Acknowledgment

By signing below, the parties acknowledge that they have read, understand, and agree to be bound by the terms of this Agreement and that the Reviewer’s services are advisory in nature.
