BUSINESS PROPOSAL SUPPORT AGREEMENT

This Business Proposal Support Agreement (the Agreement) is entered into as of Effective Date: by and between Client Name: and Consultant Name: .

Parties and Contact Information

WHEREAS

WHEREAS, Client seeks professional support to prepare, review and refine one or more proposals, responses to solicitations, and associated presentation materials (the Services); and

WHEREAS, Consultant possesses experience and capabilities in business proposal development, pricing strategy, and proposal program coordination and is willing to provide such Services to Client under the terms set forth herein.

WHEREAS, the parties desire to set forth the scope, compensation, confidentiality, and other terms governing Consultant’s performance of the Services.

SCOPE OF WORK

PAYMENT TERMS

Client shall pay Consultant the fees and reimburse expenses as set forth below. All fees are exclusive of applicable taxes unless otherwise stated.

Consultant will invoice Client in accordance with the Payment Schedule. Unpaid balances shall incur interest at the Late Fee rate above or the maximum permitted by law, whichever is less. Client shall reimburse reasonable, pre-approved out-of-pocket expenses incurred by Consultant in performance of the Services upon submission of supporting documentation.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within ten (10) days after receipt of written notice. In the event of termination, Client shall pay Consultant for Services performed and expenses incurred through the effective date of termination plus any non-cancellable commitments made in good faith.

CONFIDENTIALITY

Each party (the Receiving Party) shall hold in confidence and not disclose to any third party any Confidential Information of the other party (the Disclosing Party) disclosed in connection with this Agreement. Confidential Information means non-public business, technical, financial, and proposal-related information disclosed in writing or in tangible form or, if disclosed orally, identified as confidential at the time of disclosure and confirmed in writing within thirty (30) days.

The Receiving Party may use Confidential Information solely to perform its obligations under this Agreement. Confidential Information does not include information that the Receiving Party can demonstrate: (a) is or becomes publicly available other than through a breach of this Agreement; (b) was lawfully in the Receiving Party’s possession prior to disclosure; or (c) is independently developed without use of the Disclosing Party’s Confidential Information. If required by law or court order to disclose Confidential Information, the Receiving Party shall provide prompt written notice to the Disclosing Party to permit a protective order or other remedy.

INTELLECTUAL PROPERTY AND DELIVERABLES

Subject to full payment of all fees due hereunder, Consultant assigns to Client all right, title and interest in and to deliverables specifically created for Client under this Agreement (the Deliverables). Consultant retains ownership of Consultant’s pre-existing tools, methodologies, templates and know-how, and grants Client a non-exclusive, non-transferable license to use such pre-existing materials incorporated into the Deliverables solely for Client’s internal business purposes.

LIMITATION OF LIABILITY; INDEMNIFICATION

Except for liability arising from breach of confidentiality, gross negligence or willful misconduct, neither party shall be liable to the other for incidental, consequential, special or punitive damages. Each party shall indemnify, defend and hold harmless the other from third-party claims arising from the indemnifying party’s negligence or willful misconduct in performing its obligations under this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law rules. Venue for any dispute shall be in the state or federal courts located within that State, and the parties expressly consent to personal jurisdiction therein.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or statements of work referenced herein, constitutes the entire agreement between the parties relating to its subject matter and supersedes all prior and contemporaneous proposals, negotiations, representations and agreements, whether written or oral. Any modification must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other except to a successor to all or substantially all of its business by merger or sale of assets.
