What the Business Proprietary Information Form Is

The Business Proprietary Information Form is a standardized document used to identify, describe, and control the disclosure of confidential or proprietary business information exchanged between parties. It records the submitting party, the information categories claimed as proprietary, the purpose and permitted uses, any disclosure limitations, and signature blocks for authorized representatives. Organizations use it to create a clear record of what data is protected, to support contractual confidentiality obligations, and to document limits on distribution or retention for internal audits or disputes.

Why this form matters for risk and recordkeeping

Completing a Business Proprietary Information Form creates a written record that supports confidentiality claims, clarifies permitted uses, and reduces misunderstandings during transactions. It helps protect trade secrets and limits liability by documenting expectations for handling, retention, and disclosure.

Why this form matters for risk and recordkeeping

Who typically completes and relies on this form

Teams that collect, share, or review sensitive business data use this form to document proprietary status and handling instructions.

  • Corporate legal and contracts teams who must identify confidential categories and set permitted uses.
  • Business development and sales when sharing proposals, pricing, or product roadmaps with partners.
  • Procurement and vendor management teams when exchanging technical specifications or supplier pricing.

Use the form consistently across projects to ensure legal clarity and to support audits or dispute resolution.

Primary signers and stakeholders

Authorized Signatory

A senior executive or delegated officer who has authority to bind the company; signs to confirm proprietary designation and accept handling obligations. Their signature places the company on notice of the claimed confidentiality and creates enforceable obligations under contract.

Legal Counsel

In-house or outside counsel typically reviews the form for scope and legal sufficiency, advises on exclusions and retention, and may add defined terms or carve-outs to preserve attorney-client privilege where appropriate.

Core sections to include for clarity and enforceability

A well-structured Business Proprietary Information Form organizes identification, scope, permitted uses, handling rules, signature authority, and retention instructions in discrete sections for easy review and enforcement.

Party Identification

Full legal names, mailing addresses, and corporate identifiers for the disclosing and receiving parties so the covered information and obligations are tied to specific legal entities rather than informal contacts.

Information Categories

Clear, itemized descriptions of the proprietary materials or data (examples: pricing schedules, technical designs, source code excerpts) with attachments or exhibits where necessary for precision.

Permitted Uses

A concise statement of the allowed purposes (evaluation, integration, manufacturing) and a prohibition on secondary uses such as resale or competitive development unless expressly authorized.

Access and Handling

Instructions on who may access the information, required security controls, encryption expectations, and whether copies or derivatives are permitted, including labeling requirements for documents.

Retention and Return

How long the receiving party may retain the materials, procedures for secure return or certified destruction, and exceptions for archival backup or legal hold obligations.

Signatures and Date

Signature blocks for authorized representatives, printed names and titles, effective date, and any witness or notarization fields required by the parties or governing law.

Common preparation pitfalls to avoid

  • Claiming entire folders as proprietary without itemizing individual sensitive elements creates ambiguity and resistance.
  • Using vague duration language such as 'indefinitely' without linking to contract term or legal basis increases litigation risk.
  • Failing to name authorized signers or using initials instead of full printed names can invalidate corporate authority evidence.
  • Not preserving an unaltered audit trail for electronic signatures reduces admissibility and weakens enforcement in disputes.
