WHEREAS

WHEREAS, Client has engaged Service Provider to deliver certain professional website, platform or digital presence services, and Service Provider has expertise and capacity to perform such services on the terms set forth in this Agreement.

WHEREAS, the parties desire to set forth the scope, compensation, confidentiality and other material terms governing the relationship between them with respect to the services described herein.

WHEREAS, the parties intend that the services to be provided shall be documented in a Scope of Work and performed in accordance with the schedules and milestones agreed between the parties below.

PARTIES AND CONTACT INFORMATION

SCOPE OF WORK

Service Provider shall provide the services, deliverables and work products described below (collectively, the "Services"). The Services shall include, without limitation, the items described in the Scope of Work field and any milestones or acceptance criteria specified therein.

PAYMENT TERMS

Client shall pay Service Provider the fees set forth below in consideration for the Services. All amounts are stated in U.S. dollars unless otherwise agreed in writing.

In the event of non-payment when due, amounts unpaid shall accrue interest at the rate specified in the Late Fee field above and Client shall reimburse Service Provider for reasonable collection costs, including attorneys' fees, to the extent permitted by law.

TERM AND TERMINATION

This Agreement commences on and terminates on unless earlier terminated in accordance with this Section.

Upon termination, Client shall pay Service Provider for Services performed and expenses incurred through the effective date of termination. Service Provider shall deliver any completed deliverables and reasonable documentation necessary for Client to continue operations.

CONFIDENTIALITY

Each party (the "Receiving Party") will hold in confidence and not disclose to any third party any Confidential Information of the other party (the "Disclosing Party"). "Confidential Information" includes non-public technical, business, financial and customer information disclosed or made available by the Disclosing Party, whether in oral, written, electronic or other form. Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the Receiving Party; (b) was rightfully known by the Receiving Party prior to disclosure; (c) is rightfully received from a third party without restriction; or (d) is independently developed without use of the Disclosing Party's Confidential Information.

The Receiving Party shall use at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care. Disclosure required by law or court order is permitted only after the Receiving Party provides prompt written notice to the Disclosing Party and takes reasonable steps to obtain a protective order or otherwise limit disclosure.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , excluding its conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including the Scope of Work and any written addenda executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Service Provider may assign to an affiliate or successor in connection with a merger or sale of substantially all of its assets.
