Recitals

WHEREAS, Protected Business (Party A) possesses proprietary business information, confidential materials and trade secrets related to its operations, clients, products, services and pricing strategies (collectively, "Confidential Information"); and

WHEREAS, Service Provider (Party B) will perform services and obtain access to Confidential Information in connection with the Scope of Work set forth below; and

WHEREAS, the parties desire to set forth their agreement to protect Confidential Information, to limit use and disclosure, and to establish certain business protection measures and remedies.

Definitions

"Confidential Information" means all non-public information disclosed by Party A to Party B, whether oral, written, graphic or electronic, including but not limited to customer lists, financial data, marketing plans, product designs, software, processes and trade secrets. Confidential Information does not include information that: (a) is or becomes publicly known other than by breach of this Form by Party B; (b) was already in Party B's lawful possession without confidentiality obligation; or (c) is independently developed by Party B without use of Party A's Confidential Information.

Term and Termination

This Form commences on the Start Date and continues until the End Date, unless earlier terminated pursuant to this section.

Either party may terminate this Form for any material breach by the other party that remains uncured for a period of days after written notice specifying the breach. Additionally, Party A may immediately terminate upon unauthorized disclosure of Confidential Information or misuse of trade secrets.

Confidentiality; Protection of Trade Secrets

Party B agrees to: (a) hold Confidential Information in strict confidence using at least the same degree of care it uses to protect its own confidential information but no less than reasonable care; (b) use Confidential Information solely to perform the Scope of Work; and (c) not disclose Confidential Information to any third party except as expressly permitted in writing by Party A or as required by law, provided Party B gives prompt written notice to Party A and limits disclosure to the extent legally required.

Upon expiration or termination, Party B shall, at Party A's option, promptly return or destroy all materials containing Confidential Information and provide a written certification of destruction or return.

The parties acknowledge that monetary damages may be inadequate to remedy unauthorized disclosure of Confidential Information or misappropriation of trade secrets; therefore, Party A shall be entitled to injunctive or equitable relief in addition to any other available remedies.

Representations; Indemnification

Each party represents that it has full power and authority to enter into this Form. Party B shall indemnify, defend and hold harmless Party A from any third-party claims arising from Party B's breach of this Form, negligence or willful misconduct in connection with the Scope of Work.

Governing Law; Venue

This Form shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in such State for any dispute arising out of this Form.

Entire Agreement; Amendment

This Form constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior oral and written agreements, understandings and communications. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Miscellaneous Provisions

If any provision of this Form is held invalid or unenforceable, the remainder shall remain in full force and effect. Neither party may assign this Form without the prior written consent of the other, except Party A may assign to an affiliate or in connection with a sale of substantially all of its assets.

Each signatory represents and warrants that they are duly authorized to execute this Form on behalf of the named party and that the obligations herein are binding.
