WHEREAS

WHEREAS, the Principal is duly organized and validly existing under applicable law and is authorized to appoint an agent to act on its behalf in specified matters; and

WHEREAS, the Proxy represents that the Proxy has the capacity and authority to perform the actions described herein and is willing to accept such appointment subject to the terms of this Document; and

WHEREAS, the parties desire to set forth the scope, duration, compensation and other terms of the appointment of the Proxy by the Principal.

SCOPE OF AUTHORITY

The Proxy is authorized on behalf of the Principal, to the extent expressly set forth in the Scope of Work above and subject to any limitations stated herein, to take all actions reasonably necessary to accomplish the foregoing, including without limitation: to attend and vote at meetings; to sign, execute, deliver and acknowledge agreements, certificates and other instruments; to make representations and warranties; and to engage third parties as reasonably required to perform assigned duties. The Proxy shall act in the best interests of the Principal and in conformity with the Principal's written policies and lawful instructions.

PAYMENT TERMS

Payments due to the Proxy shall be made in lawful currency to the account designated by the Proxy or by such other method as the parties may agree in writing. The Proxy shall submit written invoices reasonably detailing services rendered and expenses incurred. The Principal shall be responsible for any agreed reimbursable expenses. All sums payable hereunder are exclusive of taxes for which the payor is responsible unless otherwise required by applicable law.

This appointment may be terminated by either party upon written notice delivered in accordance with the notice provisions below and after the expiration of the notice period specified above. Notwithstanding termination, any payment obligations accrued prior to termination and any provisions which by their nature survive termination (including confidentiality, indemnification and governing law) shall remain in effect.

CONFIDENTIALITY

"Confidential Information" means all non-public, proprietary or business information disclosed by the Principal to the Proxy in any form, whether oral, written or electronic, that is designated as confidential or that reasonably should be understood to be confidential. The Proxy shall hold Confidential Information in strict confidence, shall not use Confidential Information except as necessary to perform duties under this Document, and shall not disclose Confidential Information to any third party without the prior written consent of the Principal except as required by law or court order. The obligations of confidentiality shall survive termination of this Document for a period of five (5) years, or longer if required by applicable law.

REPRESENTATIONS, WARRANTIES AND INDEMNITY

Each party represents and warrants that it has the full power and authority to enter into this Document and that execution and performance will not breach any agreement or law. The Proxy agrees to perform duties in compliance with applicable laws and the Principal's lawful written instructions. The Proxy shall indemnify and hold harmless the Principal from and against all losses, liabilities, damages and expenses arising from the Proxy's gross negligence, willful misconduct or material breach of this Document. The Principal shall indemnify the Proxy for liabilities arising from the Principal's actions or omissions or from reliance on false or misleading information provided by the Principal.

NOTICES

All notices required or permitted under this Document must be in writing and delivered personally, by nationally recognized overnight carrier, or by certified mail, return receipt requested, to the addresses set forth above or to such other address as a party may designate by notice to the other.

GOVERNING LAW

This Document shall be governed by and construed in accordance with the laws of the state specified by the Principal (without regard to conflict of laws principles). The parties submit to the exclusive jurisdiction of the courts located in that state for resolution of disputes arising under this Document.

ENTIRE AGREEMENT

This Document constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether oral or written. Any amendment or modification of this Document must be in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Document is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The waiver by either party of a breach of any provision of this Document shall not operate as a waiver of any other or subsequent breach.
