BUSINESS PTS DOCUMENT

This Business PTS Document (the "Agreement") is made effective as of by and between Client Name: and Service Provider Name: .

RECITALS

WHEREAS, Client engages Service Provider to perform certain business planning, technical support, and advisory services as further described below; and

WHEREAS, Service Provider represents that it has the qualifications, experience, and ability to perform the services described in this Agreement in a professional manner consistent with industry standards; and

WHEREAS, the parties desire to set forth the terms and conditions under which Service Provider will provide such services to Client.

SCOPE OF WORK

PAYMENT TERMS

Compensation: Client shall pay Service Provider a total fee of USD for the services described in this Agreement.

Invoices shall be submitted by Service Provider in accordance with the Payment Schedule. Client shall pay undisputed invoices within days of receipt.

Any past-due amount shall accrue interest at a rate of per month, beginning days after the invoice due date, or the maximum rate permitted by applicable law, whichever is less.

TERM AND TERMINATION

Term: This Agreement shall commence on and continue until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience by providing the other party with at least days' prior written notice. Upon termination for convenience, Client shall pay Service Provider for all work performed and expenses incurred through the effective date of termination.

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured for thirty (30) days following written notice specifying the breach; provided that breaches of confidentiality shall be subject to immediate injunctive relief and may be terminated without a cure period where permitted by law.

CONFIDENTIALITY

Definition: "Confidential Information" means non-public information disclosed by one party to the other, whether in writing, orally, or electronically, that is designated as confidential or would reasonably be understood to be confidential given the nature of the information and the circumstances of disclosure.

Obligations: Each receiving party shall (a) use Confidential Information only to perform its obligations under this Agreement, (b) restrict disclosure to employees, contractors, and advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those in this Agreement, and (c) exercise reasonable care to protect the confidentiality of the information, but in no event less than a reasonable degree of care.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Indemnification: Each party shall indemnify, defend and hold harmless the other party from and against third-party claims arising out of the indemnifying party's gross negligence, willful misconduct, or material breach of this Agreement, subject to the indemnified party providing prompt notice of the claim and reasonable cooperation in the defense.

Limitation of Liability: Except for liability resulting from a party's gross negligence, willful misconduct, or breaches of confidentiality or indemnification obligations, neither party shall be liable for consequential, incidental, special, or punitive damages. The aggregate liability of either party for any claim arising out of this Agreement shall not exceed the amounts paid or payable to Service Provider under this Agreement during the preceding twelve (12) months.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located within that state for resolution of disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, negotiations, and understandings, whether written or oral. No amendment or modification of this Agreement shall be binding unless in writing and signed by authorized representatives of both parties.
