BUSINESS PUBLIC LABEL AGREEMENT

This Business Public Label Agreement (the Agreement) is made and entered into as of by and between:

WHEREAS

WHEREAS, Client Name is the owner or authorized licensor of the public label identified above and possesses the right to grant controlled public use of the label for the purposes set forth herein; and

WHEREAS, the Receiving Party wishes to obtain a limited, non-exclusive public label license to display and use the label in the Territory for specified activities under the terms and conditions of this Agreement; and

WHEREAS, the parties intend that such use be governed by the terms below, including quality control, payment, confidentiality and termination provisions.

PAYMENT TERMS

Late Payment: Amounts not received within days of the due date shall incur a late fee of % per month on the overdue balance. The parties agree that this remedy is a reasonable pre-estimate of damages and not a penalty.

Notice of Non-Renewal or Termination: Either party may terminate this Agreement without cause upon written notice to the other party at least days prior to the intended termination date.

CONFIDENTIALITY

Each party acknowledges that, in connection with this Agreement, it may receive Confidential Information of the other party. "Confidential Information" means non-public business, technical, financial, marketing and operational information disclosed in any form. The receiving party shall: (a) use Confidential Information only for the purpose of performing its obligations under this Agreement; (b) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care; and (c) not disclose Confidential Information to any third party except to its employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein.

The confidentiality obligations set forth herein shall survive termination or expiration of this Agreement for a period of years, except with respect to trade secrets which shall be protected for so long as they qualify as trade secrets under applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts located in that jurisdiction for any dispute arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including any schedules or appendices attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendment or modification to this Agreement must be in writing and executed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

Assignment: Neither party may assign this Agreement or any of its rights hereunder without the prior written consent of the other party, except that Client Name may assign to an affiliate or in connection with a sale of substantially all of its assets or equity.

Indemnification: Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising out of the indemnifying party's breach of this Agreement, negligence or willful misconduct, subject to customary limitations.
