BUSINESS PUBLICATION AGREEMENT

Recitals

WHEREAS, Publisher is engaged in the business of preparing, editing, printing, distributing and otherwise exploiting business publications and related materials; and

WHEREAS, Contributor has developed certain written content, articles, artwork, or other material described herein and desires that Publisher publish and distribute such material pursuant to the terms and conditions of this Agreement; and

WHEREAS, the parties wish to set forth their respective rights and obligations with respect to the publication, distribution, licensing and compensation for the material.

Scope of Work

Contributor shall deliver the material described above and shall perform the following services in accordance with the schedule and specifications set forth below.

Payment Terms

Publisher shall pay Contributor as compensation for the rights and services granted and performed hereunder in accordance with the following terms.

All amounts payable under this Agreement are exclusive of taxes unless otherwise stated. If applicable, the party required by law to collect or withhold taxes will do so and provide documentation of such withholding.

Term and Termination

This Agreement shall commence on the Effective Date set forth below and shall continue in force until the End Date or until earlier termination pursuant to this Section.

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured for the notice period above after written notice. Upon termination, all outstanding payment obligations shall become immediately due and all licensed rights revert or remain as expressly provided in this Agreement.

Confidentiality

Each party shall treat as confidential and shall not disclose or use for any purpose other than the performance of this Agreement any non-public information disclosed by the other party that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidentiality obligations survive termination for a period of three (3) years, unless a longer period is required by applicable law.

Intellectual Property

Contributor warrants that the material is original, does not infringe third-party rights, and that Contributor has full authority to grant the rights granted hereunder. Unless otherwise expressly agreed in writing, Contributor retains copyright in the original material and grants Publisher the license set forth above for the Term and Territory. Publisher shall have the right to edit, format and create derivative works for publication subject to Contributor's reasonable approval where specified in the Scope of Work.

Warranties, Indemnification and Limitation of Liability

Contributor represents and warrants that the material is original and that no third party will have any valid claim respecting ownership or use of the material as contemplated by this Agreement. Contributor shall indemnify and hold harmless Publisher from and against any losses, damages, liabilities and costs (including reasonable attorneys' fees) arising from any breach of these representations.

Except for willful misrepresentation or gross negligence, neither party shall be liable to the other for incidental or consequential damages, and aggregate liability shall be limited to direct damages not to exceed the total compensation paid under this Agreement in the twelve (12) months preceding the claim.

Notices

All notices required or permitted under this Agreement shall be in writing and sent to the addresses set forth above or to such other address as a party may designate in writing.

Governing Law and Miscellaneous

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

This Agreement constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior proposals, negotiations and agreements, whether written or oral. No amendment shall be effective unless in writing and signed by both parties. If any provision is held invalid, the remaining provisions shall remain in full force and effect.
