This Purchase Order constitutes an offer by the Buyer to purchase the goods and/or services described herein on the terms set forth. Supplier’s commencement of work, shipment of goods, or written acknowledgment constitutes acceptance and a binding contract. Any terms proposed by Supplier inconsistent with or in addition to this Purchase Order are rejected unless expressly agreed in writing by Buyer.

Delivery shall be made to the address specified and by the requested delivery date unless otherwise agreed in writing. Time is of the essence. Buyer may reject nonconforming goods and charge Supplier for any costs incurred related to delay or nonconformity, including inspection, transportation, and storage.

Supplier warrants that goods supplied will conform to specifications, be merchantable, free from defects in material and workmanship, and fit for the Buyer’s intended purpose. Warranty remedies include repair, replacement, or refund at Buyer’s option, and Supplier shall be liable for all costs associated with warranty claims.

Prices are firm and inclusive of packaging unless otherwise stated. Supplier shall comply with all applicable laws and regulations. Supplier agrees to indemnify and hold Buyer harmless from any claims, losses, fines, or liabilities arising from Supplier’s breach, negligence, or failure to comply with law.

Buyer may terminate this Purchase Order in whole or in part for convenience upon written notice; Supplier shall be entitled only to reasonable costs incurred prior to termination, subject to Buyer’s approval. Termination for Supplier default entitles Buyer to cover and recover damages.

Applicable taxes shall be identified separately. Unless Supplier has provided valid tax exemption documentation prior to invoicing, Buyer will pay applicable taxes. Risk of loss transfers pursuant to FOB terms stated on this Purchase Order.

Any disputes arising under this Purchase Order shall be governed by the laws of the state specified by Buyer in its internal policies. Remedies provided are cumulative and not exclusive.

Acknowledgement

Supplier must acknowledge receipt and acceptance of this Purchase Order in writing by the date below. Acceptance that varies or conditions acceptance is not binding unless accepted in writing by Buyer.
