REPRESENTATIONS AND WARRANTIES

Seller represents and warrants that Seller has good and marketable title to the assets being sold, free of liens except those disclosed in writing prior to Closing; that all material licenses, permits and contracts necessary for operation of the Business have been disclosed in writing; and that there are no pending actions that would materially impair the Business. Purchaser represents that Purchaser has the authority and funds required to consummate the transaction in accordance with this Agreement.

TERM AND TERMINATION

This Agreement shall commence on the Start Date: and shall terminate on the End Date: , unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure within days after receipt of written notice. Upon termination, Purchaser shall return Confidential Information as provided in the Confidentiality section and Seller shall refund any unearned amounts subject to setoff for Purchaser's damages.

CONFIDENTIALITY

Each party agrees to maintain the confidentiality of non-public information obtained in connection with this Agreement and the transaction contemplated hereby ("Confidential Information"). Confidential Information shall not include information that is or becomes publicly available other than by breach of this Agreement. The receiving party shall use Confidential Information only for purposes of performing its obligations under this Agreement and shall return or destroy such Confidential Information on termination or upon written request.

CLOSING, TAXES AND ADJUSTMENTS

Closing shall occur on the Closing Date specified above. All customary prorations and adjustments for taxes, rents, utilities, and other operating items shall be made as of the Closing Date. All transfer taxes, recording fees and similar costs shall be borne by unless otherwise agreed in writing.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to choice-of-law principles.

ENTIRE AGREEMENT

This Agreement, including all schedules, exhibits and written attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and negotiations, whether oral or written. No amendment shall be effective unless in writing signed by both parties.

NOTICES

ADDITIONAL PROVISIONS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
