What a Business Purchase Sale Agreement Is

A Business Purchase Sale Agreement is a legally binding contract that records the terms under which ownership of a business or its assets transfers from seller to buyer. It defines the purchase price, assets and liabilities included, closing conditions, representations and warranties, covenants, and post-closing obligations to reduce ambiguity and allocate risk between parties.

Why a Clear Purchase Agreement Matters

A well drafted Business Purchase Sale Agreement minimizes post-closing disputes, clarifies tax and employment responsibilities, and preserves the buyer’s and seller’s expectations during transition. It creates enforceable obligations and supports due diligence and financing arrangements.

Why a Clear Purchase Agreement Matters

Who Typically Prepares and Signs This Agreement

Select parties should be involved in drafting, review, and execution to ensure legal and operational continuity.

  • Buyers and their legal and tax advisors responsible for confirming assets, liabilities, and indemnities before closing.
  • Sellers and company officers who provide representations, transfer documents, and coordinate employee and vendor notifications.
  • Escrow agents, lenders, and trustees who manage closing funds, lien payoffs, and any third-party approvals.

Step-by-Step: Completing and Executing the Agreement

Follow these sequential steps to prepare, review, and execute the Business Purchase Sale Agreement with a clear audit trail.

  • 01
Drafting: Assemble terms, schedules, and exhibits for internal review.
  • 02
Due Diligence: Confirm assets, liabilities, licenses, and tax status.
  • 03
Negotiation: Resolve representations, indemnities, and closing conditions.
  • 04
Execution: Sign, notarize if required, and distribute final copies.

Typical Document Flow and Who Receives Copies

Understanding routing and custody reduces delay; each recipient should receive the correct finalized exhibit set and a completed signature page.

  • Seller: Receives fully executed agreement and closing funds notice.
  • Buyer: Receives executed agreement, title documents, and transition plan.
  • Lender/Escrow: Obtains signed pledge, escrow instructions, and payoff details.
  • Counsel/Accountant: Retains executed copies for tax and integration work.

Configuring an Online Signing Workflow
