What a Business Purpose Agreement Is and When it’s Used

A Business Purpose Agreement is a written statement that defines why a company is creating, sharing, or processing a specific record or transaction and sets the permitted uses for that information. Typical uses include loan underwriting, vendor onboarding, compliance attestations, or sharing limited financial or operational data between entities. The agreement clarifies the scope of permitted actions, duration of the permission, data retention expectations, and any restrictions on redistribution or secondary use. It is often used together with service agreements, NDAs, or data processing addenda in regulated environments.

Why a Clear Business Purpose Agreement Matters

A concise Business Purpose Agreement reduces ambiguity about permitted uses, supports regulatory compliance, and documents consent and authorization for internal and third-party actions.

Why a Clear Business Purpose Agreement Matters

Who Typically Prepares or Signs This Agreement

The Business Purpose Agreement is used by parties that exchange or process business records to define lawful and permitted purposes before data is accessed or acted on.

  • Legal and compliance teams who need to document permitted data uses and regulatory obligations.
  • Procurement and vendor management when onboarding service providers that will access company data.
  • Finance and lending teams for verifying permissible uses of financial statements and credit data.

In practice, legal, compliance, finance, procurement, and third-party vendors coordinate to draft, approve, and sign these agreements to ensure shared understanding.

Core Elements Every Business Purpose Agreement Should Include

A professional Business Purpose Agreement typically contains defined parties, a precise statement of permitted purpose(s), scope of data or records, duration, confidentiality obligations, and signatures authorized by the appropriate officers.

Parties

Full legal names and entity types for each party executing the agreement; include state of incorporation where relevant.

Purpose

A narrow, specific description of the activity being authorized (for example: "underwriting a commercial loan application").

Scope

Exactly which records, data fields, or documents may be used and any prohibited secondary uses or redistributions.

Duration

Start and end dates or event-based termination language that determines when authorization expires.

Security & Compliance

Requirements for data protection, applicable laws (HIPAA, FERPA, etc.), and any required Business Associate Agreement or DPA.

Signatures

Designated signatory names, titles, dates, and any witness or notarization requirement specified by applicable law.

Step-by-Step: Completing a Business Purpose Agreement

Follow these core steps to prepare, review, and finalize a Business Purpose Agreement with clarity and legal compliance.

  • 01
Draft Purpose: Define the permitted use in a single, specific sentence so obligations are measurable.
  • 02
Specify Data: List exact documents or fields that may be accessed or processed.
  • 03
Add Controls: Include security, retention, and permitted-disclosure rules tied to applicable laws.
  • 04
Obtain Signatures: Have authorized signatories execute the agreement and record dates and titles.

Typical Online Workflow Settings for Digital Completion

When completing the agreement online, configure fields and signer order to reflect your internal review and approval process.

Field Configuration
Signature Order Sequential or parallel routing based on internal approvals
Authentication Email link by default; consider SMS or KBA where stronger ID is required
Required Fields Make names, titles, effective date, and purpose mandatory
Audit Trail Enable timestamp, IP capture, and PDF certificate of completion

How Electronic Signing and eSubmission Typically Flow

A standard electronic workflow reduces touchpoints and captures the actions required to make the agreement legally defensible.

  • Upload Document: Sender uploads the agreement and configures required fields.
  • Assign Signers: Add signer roles, email addresses, and routing order.
  • Authenticate: Signer confirms identity via email link, SMS code, or stronger method if needed.
  • Complete & Store: Signed PDF and audit trail are generated and retained for records.

Technical Considerations for Digital Completion

Ensure the signing platform supports secure authentication, an immutable audit trail, and exportable signed PDFs before using eSignature for this agreement.

  • Authentication: Email, SMS, or advanced methods like KBA and SSO as needed
  • Audit Trail: Capture timestamps, IP, and signer actions for evidentiary value
  • Document Formats: Support for PDF and DOCX with tamper-evident signed output

Missing Retention: Could violate IRS or HIPAA retention obligations
Improper Authentication: Weak signer verification undermines evidentiary weight
No BAA: Exposes parties to HIPAA compliance violations
Vague Governing Law: Creates forum and interpretation disputes

Frequent Preparation Mistakes to Avoid

  • Using broad language such as 'business purposes' without specificity invites dispute and misuse.
  • Failing to name the exact data or documents allowed for review leads to overbroad access.
  • Neglecting to require a BAA when PHI is involved risks HIPAA violations.
  • Not capturing signer title and authority can invalidate the agreement in third-party disputes.

Timing Considerations and Common Deadlines

Certain deadlines and timelines influence when the agreement should be executed and how long records must be retained.

Execution Timing:

Execute before any access or data transfer to ensure lawful use

Effective Date:

Date determines when obligations and permitted purposes commence

Record Retention Start:

Retention commonly measured from creation or last effective date

Audit Access:

Allow reasonable audit access windows and notice periods

Contract Renewal:

Review purpose and scope on renewal or material change
