Parties

Recitals

WHEREAS, Client Name: desires to retain the services of Service Provider Name: to perform services described herein; and

WHEREAS, the parties desire to set forth the terms and conditions under which the services will be performed, delivered and paid for, and to protect confidential information exchanged in connection with the services; and

WHEREAS, the parties acknowledge that the work is referenced by PWD Reference Number: and that this document constitutes a binding agreement between the parties.

Scope of Work

Service Provider shall perform the services and deliverables as described below. The description shall include specifications, milestones, deliverables, acceptance criteria and any special requirements.

Payment Terms

In consideration for the services, Client shall pay Service Provider in accordance with the following terms.

Late fees shall accrue at the rate specified above on any unpaid balance not paid within the payment period. Client shall also be responsible for reasonable collection costs and attorneys' fees incurred by Service Provider to collect overdue sums.

Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: , unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon providing Written Notice Period (days): days' written notice to the other party. Either party may terminate for material breach if the breaching party fails to cure within Cure Period (days): days after receipt of written notice specifying the breach.

Upon termination, Service Provider shall deliver all completed work and Client shall pay for services performed and expenses incurred through the effective date of termination, subject to any offsets for nonconforming work.

Confidentiality

Each party (the "Receiving Party") shall hold in confidence all non-public, proprietary or confidential information disclosed by the other party (the "Disclosing Party") in connection with this Agreement and shall not use such information except to perform its obligations hereunder. Confidential information excludes information that is (a) publicly available through no fault of the Receiving Party, (b) rightfully known by the Receiving Party prior to disclosure, (c) rightfully received from a third party without restriction, or (d) independently developed without use of the Disclosing Party's confidential information.

Representations and Warranties; Insurance

Each party represents that it has full power and authority to enter into this Agreement. Service Provider warrants that the services will be performed in a professional and workmanlike manner consistent with industry standards. Service Provider shall maintain insurance coverage appropriate to the services performed and shall provide evidence of such insurance upon request.

Indemnification and Limitation of Liability

Each party shall indemnify, defend and hold harmless the other party from third-party claims arising out of its gross negligence, willful misconduct, or breach of this Agreement. Except for liability arising from gross negligence or willful misconduct, neither party's aggregate liability for claims arising out of or related to this Agreement shall exceed the total amount paid by Client to Service Provider under this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to principles of conflict of laws.

Entire Agreement

This Agreement, including any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendments or modifications to this Agreement must be in writing and signed by authorized representatives of both parties.

Miscellaneous

Assignment: Neither party may assign this Agreement without the prior written consent of the other party, except to a successor in interest in connection with a merger or sale of substantially all of its assets. Independent Contractor: Service Provider is an independent contractor and not an employee, agent or partner of Client. Notices shall be in writing and delivered to the addresses set forth above.
