Recitals

WHEREAS, Client Name: desires to establish an organizational pyramid structure for internal business functions and distribution of responsibilities, and

WHEREAS, Service Provider Name: has the expertise to design, document and implement the hierarchical structure described herein, and

WHEREAS, the parties wish to set forth their agreement effective as of Effective Date:

Scope of Work

The Service Provider shall prepare and deliver a Business Pyramid Plan that identifies organizational levels, role descriptions, reporting lines, compensation allocation and compliance controls. Deliverables shall include structural diagrams, role documentation, implementation checklist and recommended policies.

Organizational Pyramid Structure

The parties agree the initial structure will consist of discrete levels. For each level, indicate the title, primary responsibilities and percentage of top-level revenue allocation set aside for that level.

The parties represent that total allocation percentages shall not exceed 100% and that the structure will be implemented in compliance with applicable laws and regulations governing commercial arrangements; the parties shall not implement any arrangement that constitutes an unlawful pyramid selling scheme.

Payment Terms

In consideration for the Services described above, Client shall pay Service Provider the fees set forth below in accordance with the schedule.

Late fees shall accrue at the stated percentage per month on overdue amounts, computed on the outstanding balance from the original due date until paid in full. The imposition of a late fee does not waive any other rights or remedies available to the Service Provider.

Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice delivered at least Notice Period (days): prior to the effective termination date. Either party may terminate for material breach by the other party if the breaching party fails to cure the breach within thirty (30) days after receipt of written notice specifying the breach.

Upon termination, Client shall pay Service Provider for all Services performed through the effective termination date and for all non‑cancellable commitments made by Service Provider prior to termination.

Confidentiality

Each party acknowledges that in the course of performance it may receive confidential or proprietary information of the other party. "Confidential Information" means information that is designated confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure.

The receiving party shall (a) hold Confidential Information in strict confidence, (b) use Confidential Information solely for the performance of this Agreement, and (c) not disclose Confidential Information to third parties except to those employees, contractors or advisors who need to know and who are bound by confidentiality obligations no less protective than those herein. Confidentiality obligations shall survive termination for a period of three (3) years, except for trade secrets which shall remain protected for as long as they qualify as trade secrets under applicable law.

Compliance with Law

Each party represents and warrants that it will perform its obligations under this Agreement in compliance with all applicable laws, rules and regulations. Neither party will use the organizational structure described herein to engage in unlawful multilevel marketing, pyramid selling, or any activity prohibited by consumer protection, competition or securities law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in that State for resolution of disputes arising under this Agreement.

Entire Agreement

This Agreement, including all schedules and attachments hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment or modification shall be effective only if in writing and signed by authorized representatives of both parties.

Miscellaneous

Notices under this Agreement shall be delivered to the addresses set forth above. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except to an affiliate or in connection with a merger or sale of substantially all assets.
