WHEREAS

WHEREAS, Client is engaged in the business of providing products and services and seeks to engage Consultant to perform Quality Improvement and Compliance services to enhance operational performance and regulatory adherence; and

WHEREAS, Consultant represents that it has the necessary qualifications, personnel, and experience to perform the Quality Improvement and Consulting (QIC) Services described in this Agreement and agrees to perform such services subject to the terms and conditions set forth herein.

SCOPE OF WORK

Consultant will provide Quality Improvement and Consulting services including, but not limited to, process assessment, development of improvement plans, staff training, compliance gap analysis, and regular progress reporting. Specific deliverables, milestones and acceptance criteria are set forth below.

PAYMENT TERMS

Client shall pay Consultant in consideration for the Services as set forth below. All payments are due in USD and subject to the invoicing and dispute provisions herein.

Invoices shall be issued by Consultant in accordance with the schedule above. Client shall pay undisputed amounts within thirty (30) days of receipt. Disputed amounts shall be raised in writing within fifteen (15) days of receipt with supporting documentation.

TERM AND TERMINATION

This Agreement commences on Start Date and continues until End Date unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach if the breach remains uncured for the notice period specified above. Consultant may suspend Services for nonpayment after ten (10) days' written notice.

CONFIDENTIALITY

Each party shall treat as Confidential Information all nonpublic information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information shall not include information that is (a) or becomes publicly available without breach, (b) rightfully received from a third party without restriction, (c) independently developed without use of the other party's Confidential Information, or (d) required to be disclosed by law, provided the disclosing party gives prompt notice and cooperates to limit disclosure.

INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, Consultant retains ownership of pre-existing intellectual property and methodologies. Client shall receive a nonexclusive, nontransferable license to use deliverables solely for Client’s internal business purposes. Any transfer of intellectual property rights shall be subject to a separate written assignment.

INDEMNIFICATION

Each party shall indemnify, defend and hold harmless the other from and against claims, losses, liabilities and expenses arising from the indemnifying party’s gross negligence or willful misconduct in connection with performance under this Agreement, except to the extent caused by the other party’s breach or misconduct.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflicts of law principles.

ENTIRE AGREEMENT

This Agreement, including all exhibits and attachments hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any modification must be in writing signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except to an affiliate or in connection with a merger or sale of substantially all assets, provided that the assignee assumes all obligations hereunder.
