BUSINESS QP DOCUMENT

This Business QP Document (the "Agreement") is entered into by and between Client Name: and Provider Name: , effective as of .

WHEREAS

WHEREAS, Client desires to engage Provider to perform certain services and deliverables related to quality planning and related business processes as further described herein; and

WHEREAS, Provider represents that it has the experience, personnel and resources necessary to perform the services in a professional manner in accordance with the terms of this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the services, payment and confidentiality set forth in this Agreement.

SCOPE OF WORK

Provider shall perform the services and deliverables described below. The services shall conform to the specifications and schedule agreed by the parties and shall be performed in a professional and workmanlike manner.

PAYMENT TERMS

Client shall pay Provider for the services described in the Scope of Work in accordance with the schedule below. All amounts are stated in the currency agreed by the parties.

Any past-due amounts shall accrue interest at the rate of per month (or the maximum allowed by law, if lower). Client shall also reimburse Provider for reasonable collection costs incurred in enforcing payment obligations.

TERM AND TERMINATION

Term: This Agreement shall commence on and shall continue until , unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon written notice to the other party given at least days prior to the effective date of termination. In the event of termination, Client shall pay Provider for all work performed and reasonable costs incurred up to the effective date of termination.

Termination for Cause: Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within 15 days after receipt of written notice specifying the nature of the breach.

CONFIDENTIALITY

Each party acknowledges that in connection with the performance of this Agreement it may receive Confidential Information of the other party. "Confidential Information" means non-public information that is designated as confidential or that reasonably should be understood to be confidential. Confidential Information does not include information that (i) is or becomes publicly available through no breach of this Agreement, (ii) becomes rightfully known to the receiving party from a third party without restriction, or (iii) is independently developed without use of the disclosing party's Confidential Information.

The receiving party shall (a) use Confidential Information solely to perform its obligations under this Agreement, (b) restrict disclosure of Confidential Information to those of its employees, agents or subcontractors who need to know and who are bound by confidentiality obligations at least as protective as those contained herein, and (c) protect the Confidential Information using no less than reasonable care. The obligations of confidentiality shall survive termination of this Agreement for a period of years.

INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, Provider shall retain ownership of pre-existing intellectual property and tools used in performing the services. Subject to Client's payment of all amounts due under this Agreement, Provider hereby assigns to Client all right, title and interest in and to deliverables specifically created for Client under this Agreement, excluding Provider's pre-existing materials and third-party materials. The parties shall cooperate to execute documents necessary to effectuate such assignments.

INDEMNIFICATION; LIMITATION OF LIABILITY

Each party shall defend, indemnify and hold harmless the other party from and against any third-party claims arising out of the indemnifying party's negligent acts or willful misconduct in performing this Agreement. EXCEPT FOR A BREACH OF CONFIDENTIALITY OR INFRINGEMENT CLAIMS, NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, AND AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNTS PAID OR PAYABLE BY CLIENT TO PROVIDER UNDER THIS AGREEMENT DURING THE SIX MONTHS PRECEDING THE CLAIM.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for disputes arising under this Agreement.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including all schedules and exhibits attached hereto, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Assignment: Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a sale of substantially all of its assets. Notices shall be in writing and delivered to the addresses specified by the parties. If any provision of this Agreement is found unenforceable, the remainder shall remain in full force and effect.
