What the Business Quality Assurance Agreement Is

A Business Quality Assurance Agreement is a written contract that defines quality standards, responsibilities, testing and acceptance criteria, reporting requirements, and remediation processes between parties involved in delivering a product or service. It documents roles for quality control, inspection frequency, performance metrics, escalation paths, and acceptance procedures. The agreement aligns expectations between vendor, supplier, and client, reduces ambiguity about deliverables, and provides a formal reference for audits, dispute resolution, and regulatory compliance where applicable.

Why a Formal QA Agreement Matters

A clear Business Quality Assurance Agreement reduces operational risk, establishes measurable acceptance criteria, and creates an auditable record of agreed quality standards tied to contractual remedies and timelines.

Why a Formal QA Agreement Matters

Typical Parties That Use This Agreement

Teams and organizations use Business Quality Assurance Agreements to document testing responsibilities, performance thresholds, and remediation obligations before work begins.

  • Client procurement, to ensure supplier deliverables meet contractual quality metrics and acceptance tests.
  • Vendors and suppliers, to commit to inspection schedules, defect remediation, and reporting formats.
  • Project managers and QA teams, to coordinate test plans, sign-off procedures, and escalation steps.

Use the agreement when you need enforceable, measurable standards and a single source of truth for quality-related communication across teams and third parties.

Who Signs and Approves

QA Manager

A QA Manager typically reviews technical criteria, approves test plans, and signs for operational acceptance. They ensure testing evidence meets agreed metrics and document any defects or deviations in writing.

Authorized Officer

An authorized corporate signatory (procurement officer, director, or VP) signs the agreement for legal and commercial acceptance and is responsible for contract-level obligations and escalation.

Step-by-Step: Completing the Agreement

Follow these steps in order to prepare, review, and finalize the Business Quality Assurance Agreement.

  • 01
Draft scope: Define deliverables, exclusions, and measurable acceptance criteria.
  • 02
Specify tests: Describe test procedures, sample sizes, and measurement units.
  • 03
Assign roles: Identify responsible parties for testing, sign-off, and remediation.
  • 04
Sign and retain: Execute signatures and store the final agreement with audit evidence.

Typical Workflow for QA Agreements

A standard workflow moves from specification to testing, remediation, and formal acceptance with documented evidence at each step.

  • Specification: Author and agree on measurable quality criteria and deliverables.
  • Testing: Execute agreed tests and record results with timestamps.
  • Remediation: Address defects per remediation timeline and retest.
  • Acceptance: Sign formal acceptance once criteria are satisfied.

Configuring an Online QA Workflow

When you digitize the agreement, configure fields, authentication, and routing to mirror the manual process and preserve audit evidence.

Field Configuration
Acceptance Field Required checkbox with linked date stamp
Test Evidence Upload Allow PDF/CSV uploads; required before acceptance
Signer Authentication Email + SMS or stronger KBA for high-risk signers
Routing Sequential signers: QA -> Client -> Authorized Officer

Digital Signing and Technical Considerations

Confirm the eSignature platform supports required authentication, audit trails, and file types before e-submission.

  • Integrations: Supports PDF, DOCX, and integration with systems like Salesforce and NetSuite
  • Security: TLS in transit and AES-256 at rest required
  • Audit Trail: Capture timestamp, IP, and signer attribution

Ensure platform compliance with ESIGN and UETA; if handling PHI, verify HIPAA BAA availability and retention capabilities.

Essential Clauses to Include

A robust Business Quality Assurance Agreement contains specific clauses that define scope, metrics, dispute resolution, and change control.

Scope

Precisely define deliverables, versions, and any excluded items so both parties share the same expectations and tests target the correct outputs.

Acceptance Tests

List pass/fail criteria, measurement methodology, sampling plan, and required documentation to establish objective acceptance standards for deliverables.

Reporting

Specify defect reporting format, cadence, recipients, and evidence required so stakeholders can track issues and remediation progress consistently.

Remediation Rights

Establish timelines for correction, retesting, and escalation procedures, including remedies for repeated failures or missed deadlines.

Change Control

Require written approval for scope changes, with updated acceptance criteria and timeline adjustments to prevent scope creep.

Liability Limits

Allocate responsibility for defects, set caps on direct damages where appropriate, and reference applicable warranty or indemnity provisions.

Security, Compliance, and Recordkeeping

Encryption: TLS 1.2/1.3; AES-256
Audit Trail: Signed events with timestamps
HIPAA: BAA available
ESIGN / UETA: Legal e-sign frameworks
21 CFR Part 11: Support for regulated records
SOC 2 / ISO: Third-party certifications

Common Preparation Pitfalls

  • Vague acceptance criteria that lack measurable thresholds, leading to subjective disputes and delayed sign-off.
  • Mismatched party names or missing authority to sign, which can invalidate enforcement or require re-execution.
  • Insufficient evidence requirements for testing and retesting, making it difficult to prove remediation was completed.
  • Unclear change control that allows scope creep or shifting acceptance expectations without agreed amendments.

Risks of an Incorrect or Incomplete Agreement

Contract Disputes: Delayed remedies
Payment Withholding: Client may refuse acceptance
Regulatory Exposure: Noncompliance fines
Rework Costs: Higher remediation expenses
Audit Failures: Missing records or evidence
Reputational Harm: Client trust loss

Typical Timing and Deadlines to Track

Specify measurable calendar milestones in the agreement and track them against notifications and delivery events.

Effective Date and Term:

State MM/DD/YYYY effective date and contract duration in months or years.

Test Window:

Allow a defined period (e.g., 10 business days) for initial acceptance testing.

Defect Notice Period:

Require written defect notice within a set number of days after discovery.

Remediation SLA:

Specify days for critical, major, and minor defect resolution.

Final Acceptance:

Define final acceptance deadline after successful retest and documentation submission.

Key Milestones from Draft to Acceptance

Use a staged timeline to capture draft review, testing, remediation, and final sign-off in sequence.

01

Draft Approval

Finalize scope and acceptance criteria before testing begins.

02

Initial Testing

Execute agreed tests and record results within the test window.

03

Remediation Cycle

Fix defects and retest according to remediation SLAs.

04

Formal Acceptance

Obtain sign-off once all acceptance criteria are met and evidence is archived.
