This Business Quarterly Agreement (the Agreement) is entered into as of by and between the parties identified below.

WHEREAS, Company Name represents that it provides business services and strategic deliverables on a quarterly basis and is willing to perform those services for Counterparty in accordance with the terms set forth herein;

WHEREAS, Counterparty desires to retain Company Name to perform the quarterly services described below in exchange for payment under the Payment Terms contained herein;

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained in this Agreement, the parties agree as follows:

Scope of Work

Company Name shall perform the services and deliverables described below for each calendar quarter during the Term. Services shall be performed with reasonable skill, in a timely manner, and in accordance with industry standards.

Quarterly review meetings shall be held to confirm deliverables and milestones. Preferred meeting month each quarter:

Payment Terms

In consideration for the services set forth in this Agreement, Counterparty agrees to pay Company Name the fees and expenses as described below. All payments are non-refundable except as expressly provided herein.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated as provided herein.

Either party may terminate this Agreement for any reason upon providing written notice to the other party at least days prior to the effective termination date. Material breach not cured within thirty (30) days after written notice permits immediate termination by the non-breaching party.

Confidentiality

For purposes of this Agreement, "Confidential Information" means proprietary business information, financial data, trade secrets, technical specifications, customer lists, and any other information designated in writing as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Each party agrees (i) to hold the other party's Confidential Information in strict confidence; (ii) not to use Confidential Information for any purpose other than performance under this Agreement; and (iii) not to disclose Confidential Information to any third party except to employees, agents, or professional advisors with a need to know who are bound to protect such information. Confidential Information excludes information that: (a) is or becomes publicly known through no breach of this Agreement; (b) is received from a third party without breach of any obligation of confidentiality; (c) is independently developed without use of the other party's Confidential Information; or (d) is required to be disclosed by law, provided the disclosing party gives prompt prior notice when legally permitted.

Indemnification

Each party shall indemnify, defend and hold harmless the other party and its officers, directors and employees from and against any claims, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's gross negligence or willful misconduct in connection with performance under this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in that state for any dispute arising under this Agreement.

Entire Agreement; Amendments

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral. No amendment or modification of this Agreement will be effective unless in writing and signed by duly authorized representatives of both parties.

Miscellaneous

Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign this Agreement in connection with a merger, acquisition, or sale of substantially all of its assets. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
