BUSINESS QUENCH DOCUMENT

This Business Quench Document (the "Agreement") is made effective as of by and between:

Recitals

WHEREAS, Client Name: desires to temporarily suspend, modify, or otherwise adjust specified business operations and related obligations in a manner set forth below; and

WHEREAS, Provider Name: has the capacity, personnel, and expertise to implement the measures described in this Agreement to "quench" specified business processes; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows.

Scope of Work

Payment Terms

Client shall pay Provider the amounts set forth below in full for the services rendered under this Agreement.

Late payments shall incur a fee equal to on the unpaid balance, calculated monthly, or the maximum amount permitted by law, whichever is less.

Term and Termination

This Agreement commences on Start Date: and, unless earlier terminated in accordance with this section, will continue until End Date: .

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective date of termination. Either party may terminate immediately upon written notice if the other party materially breaches any obligation under this Agreement and fails to cure such breach within 15 days after receipt of written notice specifying the breach.

Termination shall not relieve Client of its obligation to pay for services performed and expenses incurred through the effective date of termination. Sections concerning Confidentiality, Indemnification, Governing Law, and Entire Agreement shall survive termination.

Confidentiality

Each party acknowledges that in the course of performance it may have access to confidential, nonpublic, or proprietary information of the other party ("Confidential Information"). Confidential Information includes, without limitation, business plans, financial information, trade secrets, customer lists, technical data, and other information reasonably understood to be confidential.

The receiving party shall: (a) use Confidential Information solely for the purposes of performing under this Agreement; (b) restrict disclosure of Confidential Information to employees, agents, and subcontractors who need such information to perform the Agreement and who are bound by confidentiality obligations at least as protective as those herein; and (c) not disclose Confidential Information to any third party without the disclosing party's prior written consent, except as required by law.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the substantive laws of the State of without regard to conflict of laws principles. If negotiation fails, the parties agree to submit unresolved disputes to binding arbitration in the agreed jurisdiction, unless otherwise agreed in writing.

Indemnification and Liability

Each party shall indemnify, defend and hold harmless the other party from and against any losses, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of third-party claims to the extent caused by the indemnifying party's negligence, willful misconduct, or material breach of this Agreement. Except for each party's indemnification obligations and for claims arising from gross negligence or willful misconduct, neither party shall be liable to the other for consequential, incidental, special, or punitive damages.

Entire Agreement and Amendments

This Agreement, including all attachments and schedules expressly incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior and contemporaneous agreements, proposals, or representations, written or oral. No amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

Miscellaneous

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign to an affiliate or in connection with a merger, acquisition, or sale of substantially all assets, provided that the assigning party remains liable for its obligations hereunder unless otherwise agreed in writing.
