BUSINESS QUEST DOCUMENT

This Business Quest Document (the Agreement) is entered into as of (Effective Date), by and between:

WHEREAS

WHEREAS, Client Name: seeks the assistance of Service Provider Name: to analyze, develop and implement specified business initiatives and strategic projects (the Services); and

WHEREAS, Service Provider represents that it has the necessary expertise, personnel and resources to perform the Services on the terms set forth in this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations concerning the Services in a binding agreement effective as of the Effective Date.

SCOPE OF WORK

Service Provider shall provide the Services described below. The description, deliverables, acceptance criteria and schedule shall conform to the specifics entered by the parties.

PAYMENT TERMS

Client shall pay Service Provider the fees set forth below in consideration for the Services. All fees are exclusive of taxes unless otherwise stated. Unless otherwise agreed in writing, payments are non-refundable.

Any undisputed amount not paid within days of its due date shall accrue a late fee equal to USD and interest at the rate of % per month, or the maximum rate permitted by law, whichever is lower.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice of days to the other party. Either party may terminate for material breach if the breaching party fails to cure such breach within days after receipt of written notice specifying the breach.

Upon termination, Client shall pay for Services performed and expenses incurred through the effective date of termination. Sections that by their nature survive termination shall survive.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by one party to the other, whether oral, written or electronic, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information does not include information that is: (a) already known to the receiving party without restriction; (b) publicly known through no wrongful act of the receiving party; (c) rightfully received from a third party without restriction; or (d) independently developed without use of the disclosing party's Confidential Information.

The receiving party shall (i) protect Confidential Information with at least the same degree of care it uses to protect its own Confidential Information, but no less than reasonable care; (ii) use Confidential Information solely for the purposes of performing its obligations under this Agreement; and (iii) not disclose Confidential Information except to those employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for resolution of any disputes.

ENTIRE AGREEMENT

This Agreement, together with any attachments or statements of work signed by the parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties.

Notices shall be sent to the addresses provided above and are effective upon receipt if delivered personally, by certified mail, or by overnight courier.
