RECITALS

WHEREAS, Client requires professional business advisory services including written analysis and formal responses to specified business questions; and

WHEREAS, Service Provider represents that it has the experience, qualifications and capacity to deliver considered answers and related advisory deliverables under the terms set forth herein; and

NOW, THEREFORE, in consideration of the mutual promises contained in this Agreement, the parties agree as follows.

SCOPE OF WORK

Service Provider will provide written responses to Client's business questions and related advisory input as described below. The deliverables, format, and acceptance criteria shall be as set forth in the Scope of Work field.

PAYMENT TERMS

In consideration for the services described in the Scope of Work, Client shall pay Service Provider in accordance with the terms set forth below. All amounts are stated in U.S. dollars and exclude sales tax unless otherwise specified.

TERM AND TERMINATION

This Agreement commences on the Start Date below and remains in effect until the End Date below, unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within days after written notice. Either party may terminate for convenience upon days' prior written notice, subject to payment for services rendered and expenses incurred through the effective date of termination.

CONFIDENTIALITY

For purposes of this Agreement, "Confidential Information" means non-public information disclosed by one party to the other in any form that is designated as confidential or that, by its nature, a reasonable person would consider confidential.

Receiving party shall (a) use Confidential Information solely for the performance or receipt of services under this Agreement; (b) restrict disclosure to employees, contractors or agents who have a need to know and are bound by confidentiality obligations no less protective than those herein; and (c) take reasonable measures to protect Confidential Information from unauthorized disclosure. Confidential Information does not include information that: (i) is or becomes public through no breach by receiving party; (ii) is rightfully received from a third party without restriction; (iii) is independently developed without use of the disclosing party's Confidential Information; or (iv) is required to be disclosed by law, provided the receiving party gives prompt notice and cooperates to seek protective measures.

The obligations of confidentiality shall survive termination of this Agreement for a period of years.

LIMITATION OF LIABILITY

Except for liability arising from willful misconduct or gross negligence, neither party shall be liable to the other for lost profits, incidental, consequential, exemplary or punitive damages. Each party's aggregate liability for claims arising out of or related to this Agreement shall not exceed the total fees paid by Client to Service Provider under this Agreement.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflicts of law principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located within that state for any dispute arising out of or related to this Agreement.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including all exhibits and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. No amendment or modification of this Agreement will be effective unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. No failure or delay in exercising any right operates as a waiver. Each party represents that it has the authority to enter into this Agreement.
