BUSINESS QUINCE AGREEMENT

This Business Quince Agreement (the "Agreement") is entered into as of by and between Client Name: (the "Client") and Vendor Name: (the "Vendor").

RECITALS

WHEREAS, the Client desires professional event planning, coordination, and related services for a quinceañera event scheduled on at Venue: ; and

WHEREAS, the Vendor represents that it has the expertise, personnel, and resources necessary to provide quinceañera event planning, coordination, and related services under the terms set forth herein; and

WHEREAS, the parties desire to set forth in writing the scope, payment, and other terms governing the engagement.

SCOPE OF WORK

The Vendor shall provide services described above including, but not limited to, event design and theme development, vendor coordination, timeline creation, on‑site management during the event, and post‑event follow up as necessary to complete deliverables set forth in the Description of Services. The Vendor shall comply with all applicable venue rules and applicable laws in performing services.

PAYMENT TERMS

All fees are exclusive of taxes and venue or third‑party vendor costs unless explicitly stated. The deposit is non‑refundable except as set forth in Term and Termination. Payments not received by the due date shall incur a late fee of % per month on the outstanding balance or the maximum allowed by law, whichever is less. The Client is responsible for collection and processing fees for returned payments.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party provided at least days' prior notice. The Vendor may terminate immediately for material breach by the Client, including non‑payment. If the Client cancels within 30 days of the event date, the Client remains liable for the full fee unless the Vendor is able to rebook substantially similar services for the same date.

CONFIDENTIALITY

Each party shall keep confidential all information disclosed by the other party that is designated as confidential or that the receiving party should reasonably understand to be confidential given its nature ("Confidential Information"). Confidential Information does not include information that is: (a) publicly known without breach of this Agreement; (b) already in the receiving party's possession without restriction; (c) rightfully received from a third party without duty of confidentiality; or (d) independently developed without reference to the other party's Confidential Information.

The receiving party shall use Confidential Information only to perform its obligations under this Agreement and shall restrict disclosure to employees or contractors who need access for that purpose and who are bound by confidentiality obligations at least as protective as those herein.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located within that State for resolution of disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, together with any attachments or addenda signed by both parties, constitutes the entire agreement between the parties relating to the subject matter hereof and supersedes all prior and contemporaneous negotiations, representations, and agreements, whether written or oral. Any amendment to this Agreement must be in writing and signed by both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by hand, certified mail (return receipt requested), or recognized courier.

ADDITIONAL TERMS

Subcontracting: The Vendor may engage subcontractors provided the Vendor remains responsible for overall performance and compliance with this Agreement.

Force Majeure: Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including acts of God, government restrictions, strikes, epidemic or pandemic-related restrictions, or inability to obtain materials or labor. The affected party must give prompt written notice to the other party and make reasonable efforts to mitigate the effect of the event.
