WHEREAS

WHEREAS, Provider is engaged in the business of providing the goods and services described in this Agreement and possesses the necessary skill, personnel and experience to perform the Scope of Work; and

WHEREAS, Recipient desires to retain Provider to perform the Scope of Work under the terms set forth herein and Provider agrees to perform such Scope of Work for the compensation and on the schedule set forth in this Agreement.

WHEREAS, the parties intend for this Agreement to set forth the full terms of their business arrangement and to allocate their respective rights and obligations.

SCOPE OF WORK

Provider shall perform the services and deliverables described below. The parties agree that the Scope of Work defines the services to be provided and that any changes to the Scope of Work will be made only by written amendment signed by both parties.

PAYMENT TERMS

In consideration for Provider's performance of the Scope of Work, Recipient shall pay Provider the fees and reimbursements set forth below. All payments shall be made in United States dollars unless otherwise agreed in writing.

Any undisputed amount not paid when due shall accrue interest at the lesser of (a) or (b) the maximum rate permitted by law. In addition, Recipient shall pay a late fee of for each late invoice, plus reasonable costs of collection.

TERM AND TERMINATION

This Agreement commences on the Start Date and continues until the End Date unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within the Notice Period after receipt of written notice specifying the breach. "Confidential Information" means non-public business, technical and financial information disclosed by one party to the other in connection with this Agreement. Each party shall (i) maintain the other party's Confidential Information in strict confidence, (ii) not disclose such Confidential Information to any third party except as expressly permitted herein, and (iii) use the Confidential Information solely to perform its obligations under this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for any dispute arising out of or relating to this Agreement.

ENTIRE AGREEMENT

This Agreement, including any schedules or exhibits attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. No amendment or modification of this Agreement will be effective unless in writing and signed by authorized representatives of both parties.

Notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by hand, certified mail (return receipt requested), or overnight courier, and are effective upon receipt.
