WHEREAS, Company engages in the sale, distribution and promotion of products and services as described in Section 1 and desires to establish measurable revenue or transaction quotas to align sales activity with Company objectives; and

WHEREAS, Quota Holder has the responsibility and opportunity to solicit business on behalf of Company within specified territories or channels and is willing to accept quotas and associated compensation terms as set forth in this Agreement; and

4. REPORTING AND AUDIT

Quota Holder shall deliver written reports in the agreed format at the Reporting Frequency specified above. Company reserves the right to audit records relevant to quota attainment upon reasonable notice and during normal business hours.

5. ADJUSTMENT AND REVISION

Quotas may be adjusted upon mutual written agreement to reflect material changes in market conditions, product availability, pricing, territory reassignments or other substantial business changes. Company will provide Quota Holder written notice of any proposed adjustment and will provide supporting data; Quota Holder shall have ten (10) business days to dispute the proposed adjustment in writing.

Either party may terminate this Agreement without cause upon days' prior written notice. Termination for material breach shall be effective immediately upon written notice if the breach remains uncured after a reasonable cure period not to exceed thirty (30) days.

7. CONFIDENTIALITY

Each party shall protect Confidential Information of the other with the same degree of care it uses to protect its own confidential information, but in no event less than a reasonable standard of care. Confidential Information includes quota calculations, incentive schedules, customer lists, pricing, and business strategies. Confidential obligations shall survive termination of this Agreement for a period of years, except that trade secrets shall remain protected for so long as they qualify as trade secrets under applicable law.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. Venue for any dispute arising out of this Agreement shall lie exclusively in the state or federal courts located in that state.

9. ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, proposals and representations, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by both parties.

MISCELLANEOUS PROVISIONS

No waiver of any provision of this Agreement shall be effective unless in writing and signed by the waiving party. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Headings are for convenience only and shall not affect interpretation.
