BUSINESS QUOTATION

Parties and Recitals

WHEREAS, Provider: is in the business of providing the goods and services described herein; and

WHEREAS, Client: has requested a written quotation for such goods and services; and

NOW, THEREFORE, Provider submits this Business Quotation for the goods and/or services described below on the terms set forth in this document.

Payment Terms

The Total Quote amount of shall be payable as follows:

Late payment shall incur a fee of per month on the outstanding balance, and Provider may suspend work until overdue amounts are paid in full.

Term and Termination

This Quotation shall become effective on the Start Date: and remain in effect until End Date: or until completion of the Scope of Work, unless earlier terminated pursuant to this section.

Either party may terminate for convenience upon giving days' written notice. Provider may terminate immediately for material breach, non-payment, or insolvency of Client, and Client shall pay for services performed and non-cancellable commitments incurred through the termination date.

Confidentiality

Each party agrees to hold in confidence all proprietary or confidential information disclosed by the other party in connection with this Quotation, including business processes, pricing, and technical information ("Confidential Information"). Confidential Information shall not include information that is or becomes publicly available through no breach, already in the receiving party's lawful possession, or independently developed. The receiving party shall use Confidential Information solely to evaluate and perform this Quotation and shall not disclose it to third parties except to employees, agents, or subcontractors with a need to know and subject to obligations of confidentiality at least as protective as those herein. These obligations survive termination of this Quotation for a period of three years.

Governing Law

This Quotation and any dispute arising out of or relating to it shall be governed by and construed in accordance with the laws of the state of without regard to conflicts of law principles.

Entire Agreement

This Business Quotation, together with any documents expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendments must be in writing and signed by authorized representatives of both parties.

Acceptance

By signing below, Client accepts this Quotation, authorizes Provider to proceed with the Scope of Work in accordance with the terms set forth herein, and acknowledges that pricing and availability are subject to the Valid Until date specified above.
