PAYMENT TERMS

Payment is due in accordance with the following schedule and subject to the terms below.

Late Payment: Payments not received within days of the due date shall incur a late fee of per month on the outstanding balance, interest compounded monthly.

TERM AND TERMINATION

This quotation shall remain valid for calendar days from the date set forth above unless earlier withdrawn in writing. If accepted, services are anticipated to commence on and complete by , subject to adjustments by mutual written agreement.

Either party may terminate an accepted agreement for material breach which remains uncured for days after receipt of written notice. Termination will not affect obligations accrued prior to termination.

CONFIDENTIALITY

Neither party shall disclose Confidential Information to third parties except as required by law or with prior written consent. Confidentiality obligations survive termination of any agreement for a period of two (2) years.

GOVERNING LAW

This quotation and any subsequently executed agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below. Disputes shall be resolved by the courts of that jurisdiction unless the parties otherwise agree in writing.

This Quotation Letter, together with any attachments, schedules and the terms expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior or contemporaneous communications, proposals and understandings, whether oral or written.
