WHEREAS

WHEREAS, Provider is engaged in the business of supplying the goods and services set forth in this Quote and possesses the professional expertise, personnel and resources necessary to perform such services; and

WHEREAS, Client desires to procure the services described herein on the terms and conditions set forth in this Quote and to rely on Provider's representations, pricing and delivery estimates for the stated work.

NOW, THEREFORE, Provider submits this Quote to Client for the scope of work, pricing, terms and conditions described below. Acceptance of this Quote in writing or by signature creates a binding contractual agreement incorporating the terms herein.

Scope of Work

Description of services to be provided. Provider will perform the following tasks in a professional and workmanlike manner consistent with industry standards:

Payment Terms

Unless otherwise agreed in writing, Client shall pay Provider the Total Quote Price according to the following schedule:

Late payments shall accrue interest at the lesser of 1.5% per month or the maximum lawful rate, plus Provider's reasonable collection costs, including attorneys' fees where permitted by law.

Term and Termination

This Quote, when accepted, shall commence on Start Date and, unless earlier terminated, shall continue through End Date or until completion of the services described in the Scope of Work.

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured for a period of days after written notice. Termination will not relieve Client of the obligation to pay for services rendered and costs incurred prior to termination.

Confidentiality

The parties acknowledge that during the performance of the services each party may have access to confidential, proprietary or trade secret information of the other party. Each party shall: (a) hold the other party's Confidential Information in strict confidence; (b) not disclose such Confidential Information to any third party without the disclosing party's prior written consent; and (c) use such Confidential Information solely for the performance of this Agreement. Confidential Information does not include information that is or becomes publicly available without breach of this obligation.

Representations and Warranties

Provider represents that it will perform the services in a competent and professional manner consistent with industry standards. EXCEPT AS EXPRESSLY SET FORTH IN THIS QUOTE, PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

Limitation of Liability

Except for willful misconduct or gross negligence, Provider's total liability for any claim arising out of or related to this Quote shall be limited to direct damages not to exceed the Total Quote Price paid by Client. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

Governing Law; Dispute Resolution

This Quote and any resulting Agreement shall be governed by and construed in accordance with the laws of the state selected by the parties. The parties agree that any dispute arising out of this Quote shall be resolved by binding arbitration if both parties so elect in writing; otherwise disputes shall be brought in the courts of competent jurisdiction in the state governing this Agreement.

Entire Agreement

This Quote, together with any documents incorporated by reference and any accepted amendments in writing, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. No modification shall be binding unless in writing and signed by both parties.

Acceptance

By signing below, Client accepts this Quote in full and authorizes Provider to proceed with the services described. This acceptance forms a binding contract containing the terms set forth above.
