RECITALS

WHEREAS, Proposer provides professional goods and services as set forth in this Proposal and related exhibits; and

WHEREAS, Client desires to engage Proposer to perform the services described herein under the terms and conditions set forth in this Proposal; and

WHEREAS, the parties intend for this Proposal to constitute an offer by Proposer to Client and acceptance of this Proposal by Client (as evidenced by signature below) shall form the binding agreement between the parties.

PAYMENT TERMS

Unless otherwise agreed in writing, Client shall pay the Total Amount in accordance with the schedule below. Invoices issued by Proposer shall be payable within days of invoice date.

Late payments shall incur a late fee of on outstanding balances, together with any costs of collection, including reasonable attorneys' fees.

TERM AND TERMINATION

This Proposal shall commence on Start Date: and, unless earlier terminated in accordance with this Proposal, shall continue until End Date: or until completion of the services.

Either party may terminate this Proposal for convenience upon written notice delivered at least days prior to the effective date of termination. Termination for cause may be immediate if a party materially breaches a material obligation and fails to cure within 15 days following written notice.

CONFIDENTIALITY

"Confidential Information" means all non-public information disclosed by either party in connection with this Proposal that is designated as confidential or that reasonably should be understood to be confidential. Each party shall: (a) use Confidential Information only to perform its obligations under this Proposal; (b) limit disclosure to those employees, contractors or agents who have a need to know and who are bound by confidentiality obligations at least as protective as those contained herein; and (c) protect Confidential Information with reasonable care. Confidential Information shall not include information that is or becomes publicly available through no fault of the receiving party, was rightfully in the receiving party's possession prior to disclosure, or is independently developed without use of the disclosing party's Confidential Information. Obligations of confidentiality shall survive termination for a period of two years.

GOVERNING LAW

This Proposal shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles. Exclusive jurisdiction and venue for any dispute arising out of or relating to this Proposal shall lie in the state and federal courts located within that state.

ENTIRE AGREEMENT

This Proposal, together with any attachments or exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous proposals, communications or agreements, whether written or oral. Any amendment to this Proposal must be in writing signed by authorized representatives of both parties.

ACCEPTANCE

By signing below, Client acknowledges acceptance of this Business Quote Proposal and agrees to be bound by the terms and conditions contained herein.
