This Business R Document (the "Agreement") is made and entered into as of Effective Date: by and between Client Name: with principal address: and Service Provider Name: with principal address:

Recitals

WHEREAS, Client requires certain business services and deliverables related to the Client's operations and desires to retain Service Provider to perform such services; and

WHEREAS, Service Provider represents that it has the skill, experience and capacity to perform the services described in this Agreement and is willing to do so on the terms set forth herein; and

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows.

Scope of Work

Deliverables shall be provided in accordance with the milestones set forth in the Scope of Work. Client shall have a period of fifteen (15) business days to review and either accept or provide written comments on submitted deliverables. Failure to respond within that period shall be deemed acceptance.

Payment Terms

Unless otherwise agreed in writing, invoices are due within days of invoice receipt. Overdue amounts shall bear interest at the lesser of (a) per month or (b) the maximum rate permitted by law. In addition, Service Provider may suspend performance if payment is more than days overdue, provided Service Provider gives at least five (5) business days' prior written notice to Client.

Term and Termination

Either party may terminate this Agreement for material breach by the other party that remains uncured for a period of thirty (30) days following written notice specifying the breach. Termination shall not relieve Client of its obligation to pay for services performed and expenses incurred through the effective date of termination. Upon termination, Service Provider shall deliver all completed work and any work in progress and shall invoice Client for all unpaid amounts.

Confidentiality

Each party (the "Recipient") shall keep confidential and shall not disclose to any third party any Confidential Information of the other party (the "Discloser") except as required to perform under this Agreement. "Confidential Information" means non-public information disclosed in any form that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information does not include information that: (a) is or becomes publicly known without breach of this Agreement by Recipient; (b) is rightfully received from a third party without restriction; (c) is independently developed by Recipient without use of Discloser's Confidential Information; or (d) is required to be disclosed by law, provided Recipient gives prompt notice to Discloser and cooperates in any lawful effort to limit disclosure.

Notices

Any notice required or permitted under this Agreement shall be in writing and shall be deemed given when delivered personally, sent by certified mail, return receipt requested, or by nationally recognized overnight courier, to the addresses set forth above or such other address as either party may designate by written notice to the other.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the courts located in that State for any dispute arising out of or relating to this Agreement.

Entire Agreement

This Agreement, including any exhibits and attachments expressly incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations and understandings, whether written or oral. No amendment or modification of this Agreement shall be binding unless in writing and signed by authorized representatives of both parties.

Miscellaneous

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that either party may assign to an affiliate or in connection with a merger or sale of substantially all of its assets. The parties are independent contractors and nothing in this Agreement creates an agency, partnership, joint venture, or employment relationship.
